Representations and Warranties as to Stock. In the case of the initial deposit of the Stock, the Company and, in the case of subsequent deposits thereof, each person so depositing Stock under this Deposit Agreement shall be deemed thereby to represent and warrant that such Stock and each certificate therefor are valid and that the person making such deposit is duly authorized to do so. Such representations and warranties shall survive the deposit of the Stock and the issuance of Receipts therefor.
Representations and Warranties as to Stock. The Company hereby represents and warrants that the New Common Stock deposited hereunder upon consummation of the Merger is, and will be deemed to have represented and warranted that any additional shares of New Common Stock which it deposits hereunder from time to time in accordance with Section 2.01 will be, when issued, validly issued, fully paid and nonassessable. Such representation and warranty shall survive any deposit of shares of New Common Stock and the issuance of Depositary Receipts.
