REPRESENTATIONS AND WARRANTIES 3. 1 Each of Institution and Investigator represents and warrants that it/he/she has the legal authority to enter into this Agreement and that the terms of this Agreement are not in conflict with any other agreements to which it/he/she is legally bound. Neither Institution nor Investigator will enter into any agreement or engage in any activities that would materially impair its or his/her ability to complete the Trial in accordance with this Agreement and the Protocol. 3.2 Each of Institution and Investigator represents and warrants that the Investigator is fully qualified as a medical practitioner under applicable laws and regulations and is fit to perform his/her obligations under this Agreement. Instituce a Zkoušející bude na náklady společnosti Gilead udržovat vybavení v dobrém provozuschopném stavu. Instituce a Zkoušející neprodleně upozorní společnost Gilead jakmile si bude vědomo nezbytnosti opravy či údržby Vybavení. Po dokončení Klinického hodnocení nebo na žádost společnosti Gilead, Instituce a Zkoušející, pokud nebude sjednáno jinak, vrátí společnosti Gilead, a to na její náklady, Vybavení a veškeré související cvičební materiály a dokumentaci. 3. PROHLÁŠENÍ A ZÁRUKY 3.1 Instituce a Zkoušející tímto prohlašuje a zaručuje, že má zákonné právo uzavřít tuto Smlouvu a že smluvní podmínky této Smlouvy nejsou v konfliktu s žádnou jinou smlouvou, jíž je zákonně vázána. REPRESENTATIONS AND WARRANTIES 3. 1 The Company represents and warrants that it is an insurance company duly organized and in good standing under the Laws of the State of Illinois, with full power, authority and legal right to execute, deliver and perform its duties and comply with its obligations under this Agreement and has established each Account as a separate account under such law and the Accounts comply in all material respects with all applicable federal and state laws and regulations. 3.2 The Company represents and warrants that it has registered or, prior to any issuance or sale of the Contracts, will register each Account as a unit investment trust in accordance with the provisions of the 1940 Act to serve as a separate account for the Contracts.
