Common use of Reports Accurate Clause in Contracts

Reports Accurate. No Borrowing Base Certificate, information, exhibit, financial statement, document, book, record or report furnished by the Servicer to the Agent, the Trustee, the Note Purchaser or the Collateral Custodian in connection with this Agreement is inaccurate in any material respect as of the date it is dated, and no such document contains any material misstatement of fact or omits to state a material fact or any fact necessary to make the statements contained therein not misleading; provided that, solely with respect to written or electronic information furnished by the Servicer which was provided to the Servicer from an Obligor with respect to a Loan Asset, such information need only be accurate, true and correct to the knowledge of the Servicer; provided, further, that the foregoing proviso shall not apply to any information presented in a Servicer’s Certificate, Servicing Report, Notice of Borrowing or Borrowing Base Certificate.

No Borrowing Base Certificate, information, exhibit, financial statement, document, book, record or report furnished by the Servicer to the Administrative Agent, the TrusteeCollateral Agent, the Note Purchaser Lenders, the Account Bank or the Collateral Custodian in connection with this Agreement is inaccurate in any material respect as of the date it is dated, and no such document contains any material misstatement of fact or omits to state a material fact or any fact necessary to make the statements contained therein not misleading; provided that, solely with respect to written or electronic information furnished by the Servicer which was provided to the Servicer from an Obligor with respect to a Loan Asset, such information need only be accurate, true and correct in all material respects to the knowledge of the Servicer; provided, further, provided further that the foregoing proviso shall not apply to any information presented in a Servicer’s Certificate, Servicing ReportReports, Notice of Borrowing or Borrowing Base Certificate.

No All Servicer’s Certificates, Servicing Reports (if prepared by the Borrower or to the extent that information contained therein is supplied by the Borrower), Notices of Borrowing, Borrowing Base Certificate, Certificates and other written or electronic information, exhibitexhibits, financial statementstatements, documentdocuments, bookbooks, record records or report reports furnished by the Borrower (or the Servicer on its behalf) to the Administrative Agent, the TrusteeCollateral Agent, the Note Purchaser Lenders, the Lender Agents, or the Collateral Custodian in connection with this Agreement is inaccurate in any material respect are as of the their date it is datedtrue, complete and correct in all material respects and no such document document, certificate or information contains any material misstatement of fact or omits to state a material fact or any fact necessary to make the statements contained therein not misleading; provided that, solely with respect to written or electronic information furnished by the Servicer Borrower which was provided to the Servicer from an Obligor with respect to a Loan Asset, such information need only be accuratetrue, true complete and correct in all material respects to the knowledge of the ServicerBorrower; provided, further, that the foregoing proviso shall not apply to any information presented in a Servicer’s Certificate, Servicing Report, Notice of Borrowing or Borrowing Base Certificate.
