So long as a Purchaser Buyer beneficially owns any portion of the SecuritiesNote, the Company shall timely file all reports required to be filed with the Commission pursuant to the Exchange Act, and the Company shall not terminate its status as an issuer required to file reports under the Exchange Act even if the Exchange Act or the rules and regulations thereunder would permit such termination.

Reporting Status. So long as a Purchaser Buyer or the Company, as the case may be, beneficially owns any of the Securities, the Company and Buyer shall timely each file all reports required to be filed with the Commission pursuant to Section 13 or 15(d) of the Exchange Act, and the Company shall not terminate its status as an issuer required to file reports under the Exchange Act even if the Exchange Act or the rules and regulations thereunder would permit such termination.

In addition, the Company shall take all actions necessary to continue to be eligible to register the resale of its Common Stock on a registration statement on Form SB2 under the Securities Act.
