Capitalized terms used but not defined herein shall have the same meaning ascribed to them in the Original Services Agreement. Bank and Servicer may be collectively referenced hereinafter as the “Parties.”

Our comments and recommendations concerning such matters, if any, will be conveyed to you in written form. Prior Comments and Recommendations Our engagement will include a review of any prior-year suggestions, recommendations, and/or comments included in the summary schedule of prior findings. As to any current-year recommendations, suggestions, and/or comments, we will afford you the opportunity to respond to such matters and include your response in management’s corrective action plan. Engagement Completion At the completion of our engagement, we will send the District ___ copies of our reports. In addition, we will send a copy of our reports to each board member, to the chief executive officer, and the chief fiscal officer. We will submit the report, including the management letter, if applicable, and management’s plan of corrective action, if applicable, to the Legislative Auditor. Either the accountant or the District shall send a copy of the report, any management letter, and management's corrective action plan, if applicable, to each federal grantor agency providing direct federal assistance and the federal cognizant agency, and to each state grantor agency and any state cognizant agency, if applicable. Reporting Package. Provide Purchaser with a reporting package covering the matters set forth in Schedule 8.2 as soon as reasonably practicable following the end of the applicable reporting period (and, in any event, (i) in the case of any monthly reporting requirements, within thirty (30) days (or forty-five (45) days in the case of a month that is the last month in one of a fiscal quarter, or such shorter period as the SEC shall require from time to time with respect to the filing by the Company of Form 10-Q quarterly reports) after the end of each month and (ii) in the case of any quarterly monthly reporting requirements, within forty-five (45) days after the end of each quarter (or ninety (90) days in the case of the Company’s fourth fiscal quarter, or such shorter period as the SEC shall require from time to time for the filing of the Company’s Annual Report on Form 10-K). In addition, each Credit Party agrees to cooperate fully with Purchaser using reasonable means and methods to facilitate and implement a system of electronic collateral reporting in order to provide electronic reporting reasonably satisfactory to Purchaser of each of the items set forth in Schedule 8.2.
