Reporting and Disclosure Communications to Participants. While Resources is a Participating Company in the REI Plans, REI shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all REI Plan-related communications and materials to employees, participants and beneficiaries, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the REI Plans. Resources shall provide all information needed by REI to facilitate such REI Plan-related communications. Resources shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Resources Plan-related communications and materials to employees, participants and beneficiaries. Resources shall assist, and Resources shall cause each other applicable member of the Resources Group to assist, REI in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form Series 5500 annual reports, for the REI Plans, where applicable.
Reporting and Disclosure Communications to Participants. While any member of the MVT Group is a participating employer in the MI Plans, the MVT Group shall take, or cause to be taken, all actions necessary to facilitate the distribution of all MI Plan-related communications and materials to MVT Employees, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the MI Plans and MVT Plans. The MVT Group shall assist the MI Group in complying with all reporting and disclosure requirements of ERISA and the Code, including the preparation of Form Series 5500 annual reports for the MI Plans, where applicable.
Reporting and Disclosure Communications to Participants. While Mykrolis is a Participating Company in the Millipore Plans, Mykrolis shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Millipore Plan-related communications and materials to its employees, participants and beneficiaries, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the Millipore Plans and Mykrolis Plans. Mykrolis shall reimburse Millipore for the costs and expenses relating to the copies of all such documents provided to Mykrolis. Mykrolis shall assist Millipore in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form Series 5500 annual reports for the Millipore Plans, as applicable.

While Potlatch is a Participating Company in the Clearwater Plans or Clearwater is a Participating Company in the Potlatch Plans, each Party shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Plan-related communications and materials to its respective Employees, participants and beneficiaries, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment materials. The Parties shall assist each other in complying with all reporting and disclosure requirements of ERISA for their respective Plans, including the preparation of Form Series 5500 annual reports, where applicable.

While Mead Johnson is a Participating Company in the BMS Plans, Mead Johnson shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all BMS Plan-related communications and materials to employees, participants and beneficiaries, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the BMS Plans and Mead Johnson Plans. Mead Johnson shall reimburse BMS for the costs and expenses relating to the copies of all such documents provided to Mead Johnson, except to the extent such costs are charged pursuant to the Transition Agreement (or are otherwise addressed in this Agreement) or pursuant to an Ancillary Agreement. Mead Johnson shall assist, and shall cause each other applicable member of the Mead Johnson Group to assist, BMS in complying with all reporting and disclosure requirements of ERISA and other applicable law, including the preparation of Form Series 5500 annual reports for the BMS Plans, where applicable.

While Southern Energy is a Participating Company in the Southern Plans, Southern shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Southern Plan-related communications and materials to employees, participants and beneficiaries, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the Southern Plans. Southern Energy shall provide all information needed by Southern to facilitate such Southern Plan-related communications. Southern Energy shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Southern Energy Plan-related communications and materials to employees, participants and beneficiaries. Southern Energy shall assist, and Southern Energy shall cause each other applicable member of the Southern Energy Group to assist, Southern in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form Series 5500 annual reports, for the Southern Plans, where applicable.

While KSI is a Participating Company in the Company Plans, KSI shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Company Plan-related communications and materials to its employees, participants and beneficiaries, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the Company Plans and KSI Plans. KSI shall reimburse the Company for the costs and expenses relating to the copies of all such documents provided to KSI. KSI shall assist the Company in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form Series 5500 annual reports for the Company Plans, as applicable.
Reporting and Disclosure Communications to Participants. While Tality or the Partnership is a Participating Company in the Cadence Plans, each of them shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Cadence Plan-related communications and materials to employees, participants and beneficiaries, including summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the Cadence Plans and Tality Plans. Tality or the Partnership, as applicable, shall reimburse Cadence for the costs and expenses relating to the copies of all such documents provided to them. Tality and the Partnership shall each assist Cadence in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form Series 5500 annual reports for the Cadence Plans, where applicable.

While eFunds is a Participating Employer in the Deluxe Plans, eFunds shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Deluxe Plan-related communications and materials to employees, participants and beneficiaries, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the Deluxe Plans and eFunds Plans. eFunds shall reimburse Deluxe for any and all actual costs and expenses relating to the copies of all such documents provided to eFunds, except to the extent such costs are otherwise addressed in this Agreement or pursuant to an Ancillary Agreement. eFunds shall assist, and eFunds shall cause each other applicable member of the eFunds Group to assist, Deluxe in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form Series 5500 annual reports for the Deluxe Plans, where applicable.
Reporting and Disclosure Communications to Participants. While SDS is a Participating Employer in the Sybron Benefit Plans, SDS shall take, or cause to be taken, all actions necessary or appropriate to facilitate the distribution of all Sybron Benefit Plan-related communications and materials to Dental Business Employees, including (without limitation) summary plan descriptions and related summaries of material modification(s), summary annual reports, investment information, prospectuses, notices and enrollment material for the Sybron Benefit Plans. SDS shall reimburse Sybron for any and all actual costs and expenses relating to the copies of all such documents provided to SDS, except to the extent such costs are otherwise addressed in this Agreement or pursuant to another agreement between the parties. SDS shall assist, and SDS shall cause each other applicable member of the SDS Group to assist, Sybron in complying with all reporting and disclosure requirements of ERISA and the Code, including the preparation of Form Series 5500 annual reports for the Sybron Benefit Plans, where applicable.
