Reporting and Disclosure. The Company, from time to time, shall provide government agencies with such reports concerning this Agreement as may be required by law, and the Company shall provide the Executive with such disclosure concerning this Agreement as may be required by law or as the Company may deem appropriate.

Summary plan descriptions and all other returns, reports, registration statements, prospectuses, documents, statements and communications which are required to have been filed, published or disseminated under ERISA or other Law and the rules and regulations promulgated by the Department of Labor under ERISA and the Treasury Department or by the SEC with respect to the Employee Plans have been so filed, published or disseminated.

Reporting and Disclosure. All records regarding the operation, management and administration of this Plan shall be maintained by the Plan Administrator. The Plan Administrator shall satisfy any federal or state requirement to report and disclose any information regarding this Plan to any federal or state department or agency, or to any Participant or Beneficiary.

With respect to each Employee Benefit Plan, including employee welfare benefit plans not required to be listed in Schedule 5.18 (i) or Schedule 5.18 (ii), and which is subject to the reporting, disclosure and record retention requirements set forth in Part 1 of Subtitle B of Title I of ERISA and the regulations thereunder, each of such requirements has been fully met on a timely basis, except where instances of failing to do so could not reasonably be expected, considered in the aggregate, to have a Material Adverse Effect.

To Lancit's knowledge, (i) Each party in interest described in section 3(14)(A) and (B) of ERISA has complied with, and neither Lancit nor any Subsidiary will knowingly permit at any time through the Effective Time any such party in interest to fail to comply with, all material requirements of ERISA and (ii) Lancit and each Subsidiary have caused to be filed on a timely basis each and every return, report and notice required to be furnished to any governmental agency with respect to each employee benefit plan sponsored or maintained by Lancit or any Subsidiary and have furnished to plan participants and beneficiaries the information required to be furnished to them. Lancit shall deliver to Company at the Effective Time all records as are requested by Company.
Reporting and Disclosure. The Company shall file all disclosures with respect to this Policy in accordance with the requirements of federal securities laws.
