Report and Notices. Furnish promptly to Lender such information as Lender may reasonably require regarding the Project; notify Lender promptly of any material deficiencies asserted or liens filed by the Internal Revenue Service against Borrower or Guarantor; notify Lender promptly of any condemnation or similar proceedings with respect to any of the Property or Improvements, any proceeding seeking to enjoin the Project or intended use of any of the Improvements (including the Project), and of all material changes in governmental requirements pertaining to the Property or Project, utility availability, anticipated costs of completion of the Project, and any other maters which could reasonably be expected to adversely affect Borrower's ability to perform its obligations under this Agreement to the extent Borrower becomes aware of the same.

Report and Notices. A. Cygnet shall advise the Escrow Agent in writing of (i) the Commencement Date no later than one business day following the Commencement Date; (ii) the Expiration Date and any extension thereof no later than one business day following (x) the Commencement Date or (y) 5 each extension of the Expiration Date; (iii) the Closing Date no later than three business days prior thereto unless the Escrow Agent shall accept a shorter notice period; (iv) the number of Garcxx Xxxhts and the amount of any Garcxx Xxxr-Subscription Elections no later than one business day following the Expiration Date; (v) the acceptance or rejection of all subscriptions as soon as possible following the receipt by Cygnet of documentation evidencing such subscriptions; and (vi) its receipt on the Closing Date of the Garcxx Xxxds and of the satisfaction of all conditions to the Split-up, along with instructions to the Escrow Agent to disburse the Escrow Amount to Cygnet in accordance with Section 5.C. hereof.
