Repairs and Maintenance. 14.01. Tenant shall, at its expense, throughout the Term, take good care of the Premises, the fixtures and appurtenances therein and the Tenant's Property. Tenant shall be responsible for all repairs and replacements, interior and exterior, structural and nonstructural, ordinary and extraordinary, in and to the Premises and the Building and the facilities and systems thereof, the need for which arises out of (a) the performance or existence of any work by Tenant or Alterations, (b) the installation, use or operation of the Tenant's Property in the Premises, (c) the moving of the Tenant's Property in or out of the Premises or the Building, or (d) the act, omission, misuse or neglect of Tenant or any of its subtenants or its or their employees, agents, contractors or invitees. Tenant, at its expense, shall promptly repair or replace all scratched, damaged or broken doors and glass in and about the Premises and shall be responsible for all repairs, painting, maintenance and replacement of wall and floor coverings in the Premises and for the repair and maintenance of all sanitary and electrical fixtures and equipment therein. Tenant shall promptly make, at Tenant's expense, all repairs in or to the Premises for which Tenant is responsible. Any repairs required to be made by Tenant to the mechanical, electrical, sanitary, heating, ventilating, air-conditioning or other systems of the Building shall be performed only by contractor(s) approved by Landlord. Any other repairs in or to the Building and the facilities and systems thereof for which Tenant is responsible, may be performed by Landlord at Tenant's expense.

Notwithstanding the foregoing, Tenant shall not be responsible for repairs to any portion of the structure, shell or core of the Building or any Building Systems or any common or public areas or facilities of the Building or the Land, except to the extent that (X) the need for such repairs or replacements arises from modifications, alterations, additions, installations or improvements made by Tenant to the structure, shell or core of the Building or to the Building Systems or (Y) the need for such repairs or replacements arises from the matters set forth in clauses (a), (b), (c), (d) or (e) of the third sentence of this Section 14.01 or from the negligence or willful misconduct of Tenant, its employees, agents or contractors. Tenant, at its expense, shall promptly repair or replace all scratched, damaged or broken doors and glass (other than broken window glass, unless the same was broken due to the act, omission or negligence of Tenant) in and about the Premises and Premises, including, without limitation, entrance doors. Tenant shall be responsible for all repairs, painting, maintenance and replacement of wall and floor coverings in the Premises and for the repair repair, replacement and maintenance of all sanitary and electrical and heating, ventilating, air-conditioning and mechanical fixtures and equipment thereintherein which were installed by Tenant. Tenant shall promptly make, at Tenant's expense, all repairs in or to the Premises for which Tenant is responsible. Any repairs required to be made pursuant to this lease by Tenant to the mechanical, electrical, sanitary, heating, ventilating, air-conditioning or other systems of the Building shall be performed only by contractor(s) approved by Landlordin accordance with the provisions of Article 12 hereof as though such repairs constitute an Alteration. Tenant shall be responsible for all repairs and replacementsordinary or extraordinary, interior and or exterior, structural and nonstructural, ordinary and extraordinaryor otherwise, in and to about the Demised Premises and the Building and the facilities and systems thereofBuilding, the need for which arises out as shall be required by reason of (ai) the performance or existence of any work by Tenant Tenant's Work or AlterationsTenant's Changes, (bii) the installation, use or operation of the Tenant's Property in the Demised Premises, (ciii) the moving of the Tenant's Property in or out of the Premises or the Building, or (div) the act, omission, misuse or neglect of Tenant or any of its subtenants employees, agents or contractors; but Tenant shall not be responsible for any of such repairs as are required by reason of Landlord's act or omission in the manner of performing any of Tenant's Work or Tenant's Changes which may be undertaken by Landlord for Tenant's account or are otherwise required by reason of neglect or other fault of Landlord or its or their employees, agentsagents or contractors. Except if required by the act or omission of Landlord or its employees, contractors agents or invitees. contractors, Tenant, at its expense, shall promptly repair or replace all scratched, damaged or broken doors and or other glass in and or about the Demised Premises and shall be responsible for all repairs, painting, maintenance and replacement of wall and floor coverings in the Demised Premises and and, for the repair and maintenance of all sanitary and electrical lighting fixtures and equipment therein. Tenant shall promptly makeAll repairs, at Tenant's expenseexcept for emergency repairs, all repairs in or to the Premises for which Tenant is responsible. Any repairs required to be made by Tenant to the mechanical, electrical, sanitary, heating, ventilating, air-conditioning or other systems of the Building as provided herein shall be performed only by contractor(scontractors or subcontractors approved in writing by Landlord prior to commencement of such repairs, which approval shall not be unreasonably withheld or delayed, and shall be deemed granted if not denied within seven (7) approved by Landlord. Repairs and Maintenance. 14.0113.01. Tenant shall, at its expense, throughout the Termterm of this Lease, take good care of and maintain in good order and condition the Premises, and the fixtures and appurtenances improvements therein including, without limitation, the property which is deemed Landlord's pursuant to Section 12.01 hereof and the Tenant's Property, except as otherwise expressly provided in this Section 13.01.
