Removal from any Boards and Positions. Upon Executive’s termination of employment for any reason under this Agreement, Executive shall be deemed to resign (i) if a member, from the Board and the board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the Company or an Affiliate, (ii) from each position with the Company and any Affiliate, including as an officer of the Company or an Affiliate and (iii) as a fiduciary of any employee benefit plan of the Company and any Affiliate.

Removal from any Boards and Positions. Upon Executive’s termination of employment for any reason under this Agreement, Executive shall be deemed to resign (i) if a member, from the Board and the board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the Company Employer or an Affiliate, (ii) from each position with the Company Employer and any Affiliatethe Affiliates, including as an officer of the Company Employer or an Affiliate the Affiliates, and (iii) as a fiduciary of any employee benefit plan of the Company and any AffiliateEmployer or the Affiliates.

Removal from any Boards and Positions. Upon If Executive’s termination of employment is terminated for any reason under this Agreement, Executive shall be deemed to resign this Agreement will constitute his automatic resignation from (i) if a member, from the Board and as well as the board of directors of any Affiliate and subsidiary of the Company or any other board to which Executive he has been appointed or nominated by or on behalf of the Company or an AffiliateCompany, (ii) from each any position with the Company and or any Affiliatesubsidiary of the Company, including including, but not limited to, as an officer of the Company or an Affiliate any of its subsidiaries, and (iii) as a any fiduciary of any employee positions with respect to the Company’s benefit plan of the Company and any Affiliateplans.

Removal from any Boards and Positions. Upon Executive’s termination Unless otherwise agreed to in writing by the Parties at the time of employment for any reason under this AgreementTermination, upon a Termination, Executive shall be deemed to resign (i) if a member, from the Board, the Bank Board and the board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the Company or an Affiliate, (ii) from each position with the Company and any Affiliate, including as an officer of the Company or an Affiliate and (iii) as a fiduciary of any employee benefit plan of the Company and any Affiliate.

Upon Executive’s termination of employment for any reason under this Agreement, unless otherwise agreed in writing between the Board and Executive, Executive shall be deemed to resign (i) if a member, from the Board and the board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the Company or an AffiliateEmployer, (ii) from each position with the Company and Employer or any Affiliate, including as an officer of the Company Employer or an Affiliate any of its Affiliates and (iii) as a fiduciary of any employee benefit plan of the Company and any AffiliateEmployer.

Upon If Executive’s termination of employment terminates for any reason under this Agreement, Executive shall he will be deemed to resign as applicable (i1) if as a membermember of the Board, from the Board and (2) as a member of the board of directors of any Affiliate and of the Company’s subsidiaries or affiliates, (3) as a member of any other board to which Executive he has been appointed or nominated by or on behalf of the Company Company, and (4) as an officer, as a member of any committee or an Affiliateteam, (ii) and from each any other position with the Company and or any Affiliate, including as an officer of the Company its subsidiaries or an Affiliate and (iii) as a fiduciary of any employee benefit plan of the Company and any Affiliateaffiliates.

Upon the Executive’s termination of employment for any reason under this Agreement, the Executive shall be deemed to resign (i) if a member, from the Company’s Board and of Directors (the “Board”) or board of directors of any Affiliate and affiliate or any other board to which the Executive has been appointed or nominated by or on behalf of the Company or an AffiliateCompany, (ii) from each any position with the Company and or any Affiliateaffiliate, including including, but not limited to, as an officer of the Company or an Affiliate any of its affiliates, and (iii) as a fiduciary of any employee benefit plan of the Company and any AffiliateCompany.
