Reliance on Representations and Warranties of Parent. Each Company and the Shareholders shall have the right to rely fully on Parent's representations, warranties, covenants and agreements herein, notwithstanding any investigation by the Companies or the Shareholders and notwithstanding any knowledge of facts determined or determinable by the Companies or the Shareholders pursuant to such investigation or right of investigation.
