Common use of Reliance on Reports Clause in Contracts

Reliance on Reports. Each member of the Committee and each member of the Board shall be fully justified in relying, acting or failing to act, and shall not be liable for having so relied, acted or failed to act in good faith, upon any report made by the independent public accountant of the Company and any Related Entity and upon any other information furnished in connection with this Agreement by any person or persons other than himself.

Reliance on Reports. Each member of the Committee and each member of the Board shall be fully justified in relying, acting or failing to act, as the case may be, and shall not be liable for having so relied, acted or failed to act in good faith, in reliance upon any report made by the independent public accountant of any member of the Company and any Related Entity and upon Group and/or any other information furnished in connection with this Agreement the Plan by any person agent of the Company or persons the Committee or the Board, other than himselfhimself or herself.

Each member of the Committee and each member of the Board (and each such member's respective designees) shall be fully justified in relying, acting or failing to act, as the case may be, and shall not be liable for having so relied, acted or failed to act in good faith, in reliance upon any report made by the independent registered public accountant accounting firm of the Company and any Related Entity and upon its Affiliates and/or any other information furnished in connection with this Agreement by any person agent of the Company or persons the Committee or the Board, other than himselfsuch member or designee.

In no event shall any person who is or shall have been a member of the Committee or of the Board be liable for any determination made or other action taken or any omission to act in reliance upon any such report or information or for any action taken, including the furnishing of information, or failure to act, if in good faith.

In no event shall any person who is or shall have been a member of the Committee or of the Board be liable for any determination made or other action taken or any omission to act in reliance upon any such report or information or for any action taken, including the furnishing of information, or failure to act, if in good faith.
