Common use of Release of Obligations Clause in Contracts

Release of Obligations. If any of the conditions in Section 9.1 are not fulfilled or waived or indemnified for, the Vendor on the Closing Date may rescind this Agreement by notice in writing to the Purchaser. In such event, the Vendor shall be released from all obligations under this Agreement (except Section 11.12, which will continue in force for one year), and the Purchaser will also be released (subject only to the survival of Section 11.12 for one year).
