Release and Hold Harmless. KHS shall release and hold harmless Contractor, and Contractor’s agents, board members, officers, employees, agents, volunteers, and authorized representatives from, and Contractor shall be excused from any obligations of indemnification related to, any claims arising in connection with: (i) the violation by any materials provided by KHS of the intellectual property rights of a third party; (ii) KHS’s failure to obtain any consents or approvals required by applicable law; (iii) KHS’s violation of any law applicable to its obligations; or (iv) KHS’s gross negligence or willful misconduct.
Release and Hold Harmless. Applicant agrees to assume all risk of injury, harm or damage to his/her person or property which may arise as a result of the performance of the Contract by Contractor and does hereby release and agree to indemnify and hold harmless MaineHousing, the CAA, their agents, officers and employees from any and all liability actions, damages and claims of any kind and nature whatsoever for injury or harm that might arise in connection with the use of the Contract, the Contractor’s performance of the Contract and/or Applicant’s participation in the Program.
Release and Hold Harmless. Purchaser hereby releases, acquits and hold harmless Seller, their agents, attorneys and those acting in concert or participation with them from any and all matters having to do with the lack of registration of the aforementioned Shares and, further, covenants not to xxx Seller, their agents, attorneys and those acting in concert or participation with them with respect to any matters relating to the lack of registration of the aforementioned Shares and the claim under federal and state law of the private offering exemption.

The Licensee, in consideration of being permitted to moor the Vessel at the Marina, releases and waives any and all claims, demands, causes of action, suits, judgments against Licensor for any loss, injury, death or damage to persons or property (including the Vessel) that may arise in any way from the moorage of the Licensee’s Vessel at the Marina, including the negligence of Licensor. Licensee agrees to indemnify, defend and hold Licensor harmless from and against all claims, demands, causes of action, suits, judgments loss, costs, liability, damages and expenses, including Licensor’s attorney fees and costs, for any loss, injury, death or damage to persons or property (including the Vessel) arising out of or in any way related to the moorage of Licensee’s Vessel at the Marina, including the negligence of Licensor, and including, but not limited to (i) any default by Licensee of the terms and conditions of this license, (ii) the use of the Slip and Marina by Licensee and its guests, invitees, vendors, visitors and agents,
Release and Hold Harmless. The undersigned hereby releases, waives, indemnifies and holds harmless the Board of Trustees of the University of Alabama for The University of Alabama at Birmingham, the Department of University Recreation, CENTERS, L.L.C., and all of their officers, trustees, directors, employees, and agents (hereinafter jointly referred to as “indemnitee”) harmless from any and all claims, causes of action, suits, liability, losses, or damages for any property damage, property loss or theft, personal injury, death or other loss arising from or relating to the undersigned’s use of the property, facilities, and/or services of UAB University Recreation.
Release and Hold Harmless. Contractor shall release and hold harmless, defend and indemnify the SJSU Research Foundation, the State of California, the California State University, the Trustees of the California State University, San Xxxx State University, and its current and former officers, officials, employees, volunteers and agents from and against any and all liability, loss, damage, expense, costs, including without limitation costs and fees of litigation, of every nature arising out of or in connection with contractor’s performance of work hereunder or its failure to comply with any of its obligations contained in the agreement, caused in whole or in part by any negligent act or omission of the contractor, any subcontractor, anyone directly or indirectly employed by any or anyone of them whose acts may incur liability.
Release and Hold Harmless. The Group hereby and forever discharges and releases the Club, its successors, assigns, directors, officers, or employees, from all claims, demands, damages, actions and causes of action whatsoever, whish it or its members, employees, agents or guests may now have or may hereafter have, because of the Group’s planned use of the Club facilities. The Group shall hold the Club, its directors, officers or employees harmless and shall indemnify them from and against all liability for injuries to or deaths of persons or damage to property arising from activities under this agreement.
Release and Hold Harmless. Lessor shall not be liable to Lessee, his invitees, family, employees, or agents and Lessor is specifically released from any claim for personal injuries or damage to personal property caused by fire, theft, storm, act of God, or collision or other damage or destruction caused by an act or negligence by Lessor or its officers, agents, employees of any other person in or about said premises. This hold harmless agreement shall include attorney’s fees and court costs arising out of the defense of any such action or appeals. Should any of the Lessor’s employees or agents perform any services for the Lessee, such employee or agent shall be deemed the agent of the Lessee for such services, regardless of whether payment for said services is made. Lessee shall indemnify and hold Lessor harmless from any and all liability in connection with services performed by said employees or agents. Lessee further agrees to store his Property at the United States Sailing Center at his own risk and agrees not to look to Lessor, its officers, employee and or agent for any loss or damage associated with the storage of his yacht or personal property at the subject premises.

Licensee agrees to indemnify, defend and hold Licensor harmless from and against all claims, demands, causes of action, suits, judgments loss, costs, liability, damages and expenses, including Licensor’s attorney fees and costs, for any loss, injury, death or damage to persons or property (including the Vessel) arising out of or in any way related to the moorage of Licensee’s Vessel at the Marina, including the negligence of Licensor, and including, but not limited to (i) any default by Licensee of the terms and conditions of this license, (ii) the use of the Slip and Marina by Licensee and its guests, invitees, vendors, visitors and agents, (iii) acts, omissions or negligence of Licensee or its guests, invitees, visitors, agents, and vendors whether individuals or businesses, in or around the Slip or the Marina, or (iv) any claims by any other person by reason of loss, injury, death or damage to persons or property due to an act, occurrence or omission set forth in (i), (ii) or (iii) above. Licensee acknowledges that the Vessel and all personal property of Licensee is moored at Licensee’s sole risk, and Licensor shall not be liable for any loss or damage.
Release and Hold Harmless. FRANCHISEE shall release and hold harmless COUNTY from and against all liabilities arising out of or in any way connected to this Agreement, including not seeking reimbursement from COUNTY for Franchisee's liability to a third party (such as damages resulting from a suit against FRANCHISEE by a customer).
