Common use of Reimbursement of Fees and Expenses Clause in Contracts

Reimbursement of Fees and Expenses. The Advisor retains its right to receive reimbursement of any excess expense payments paid by it pursuant to this Agreement for three years from the date on which the waiver or reimbursement occurs, if such reimbursement can be achieved within the lesser of the Operating Expense Limitations listed in Appendix A or the expense limits in place at the time of recoupment. The Advisor’s right to receive such reimbursement shall survive the termination of either this Agreement or the Investment Advisory Agreement.

Reimbursement of Fees and Expenses. The Advisor Adviser retains its right to receive reimbursement of any fees waived or excess expense payments paid by it pursuant to this Agreement for within three years from the date on which the waiver or reimbursement occursof such payment, if such reimbursement can be achieved within the lesser of the Operating Expense Limitations Limit listed in Appendix A or the expense limits that was in place effect at the time of recoupmentthe waiver, whichever is lower, and such repayment has been approved by the Board of Trustees. The Advisor’s right Notwithstanding anything to receive such reimbursement the contrary, this Section 3 of this Agreement shall survive the any termination of either this Agreement or with respect to any expenses that have not been reimbursed by the Investment Advisory AgreementFund to the Adviser.

The Advisor’s right to receive such reimbursement shall survive the termination of either this Agreement or the Investment Advisory Agreement.

The Advisor retains its right to receive reimbursement of any excess expense payments paid by it pursuant to this Agreement in future years on a rolling three-year basis (including offering and organizational expenses paid by the Advisor, but borne by the Fund, prior to the Fund’s effective date, of which the organizational costs are eligible for recoupment until three years from the date on which the waiver or reimbursement occursafter such amounts were waived), if such reimbursement can be achieved within the lesser of the Operating Expense Limitations listed in Appendix A or the expense limits in place at the time of recoupment. The Advisor’s right to receive such reimbursement shall survive the termination of either this Agreement or the Investment Advisory Agreement.A.
