Reimbursement of Agent. If the Fiscal Agent pays out on or after the due date on the assumption that the corresponding payment by or on behalf of the Issuer has been or will be made and such payments has in fact not been so made by the Issuer, then the Issuer shall on demand reimburse the Fiscal Agent for the relevant amount, and pay interest to the Fiscal Agent on such amount from the date on which it is paid out to the date of reimbursement at a percentage rate per annum equal to the cost to the Fiscal Agent of funding the amount paid out, as certified by the Fiscal Agent and expressed as a percentage rate per annum.
Reimbursement of Agent. The Pledgor agrees to pay any and all reasonable costs and expenses incurred by the Agent, and to indemnify the Agent and each other Lenders against, and to hold each the Agent and each other Lender harmless from, any and all losses, claims, damages, liabilities and related expenses, including the reasonable fees and expenses of counsel and of any experts and agents, which the Agent and/or any of the other Lenders may incur in connection with (a) the custody, preservation or sale of, collection from or other realization upon any of the Collateral, (b) the exercise or enforcement of any of the rights of the Agent hereunder, or (c) the failure by the Pledgor to perform or observe any of the provisions hereof.
Reimbursement of Agent. Each Pledgor agrees to pay upon demand to the Agent the amount of any and all reasonable expenses, including the reasonable fees disbursements and other charges of its counsel and of any experts or agents, and its fully allocated internal costs, that the Agent may incur in connection with (a) the administration of this Agreement, (b) the custody or preservation of, or any sale of, collection from, or other realization upon, any of the Pledged Collateral, (c) the exercise or enforcement of any of the rights of the Agent or the Lenders hereunder, or (d) the failure by such Pledgor to perform or observe any of the provisions hereof. Any such amounts payable as provided hereunder shall be Secured Obligations.

Reimbursement of Agent. The Pledgor agrees to pay to the Agent an amount equal to the amount of all costs and expenses, including reasonable legal fees and disbursements, resulting from any Collateral, this Pledge Agreement (including the preparation of this Pledge Agreement and all related documents whether or not the transactions contemplated hereby are consummated) or the administration and enforcement or exercise of any right or remedy granted to the Agent hereunder or thereunder. The foregoing indemnity agreement includes any reasonable costs incurred by the Agent in connection with any action or proceeding which may be instituted in respect of the foregoing by the Agent, or by any other person either against the Agent or in connection with which any officer, agent or employee of the Agent is called as a witness or deponent, including, but not limited to, the reasonable fees and disbursements of any counsel to the Agent, and any reasonable out-of-pocket costs incurred by the Agent in appearing as a witness or in otherwise complying with legal process served upon it. If the Pledgor shall fail to do any act or thing which it has covenanted to do hereunder or any representation or warranty of the Pledgor shall be breached, the Agent may (but shall not be obligated to) do the same or cause it to be done or remedy any such breach and there shall be added to the obligations of the Pledgor secured hereby, the cost or expense incurred by the Agent in so doing, and any and all amounts expended by the Agent in taking such action shall be repayable to it upon its demand therefor and shall bear interest at 15% per annum from the date advanced to the date of repayment. The Pledgor s obligations contained in this Section 17 shall survive the expiration or earlier termination of this Pledge Agreement.
Reimbursement of Agent. The Owner shall reimburse Agent for all costs incurred by Agent pursuant to this Agreement in an expedient manner.
Reimbursement of Agent. Owner(s) shall reimburse Agent promptly for any monies which Agent may elect to advance for the account of Owner(s). Nothing herein contained, however, shall be construed to obligate Agent to make such advances.
Reimbursement of Agent. The Borrowers hereby agree to reimburse ----------------------- the Agent for its reasonable out-of-pocket expenses, including reasonable counsel fees, incurred by the Agent in connection with the development, preparation, execution and enforcement of this Agreement and all the Loan Documents, including all counsel fees in connection with any bankruptcy or insolvency proceeding involving any Borrower, this Agreement or any of the other Loan Documents. Such expenses and counsel fees shall be paid simultaneously with the execution of this Agreement and all such expenses hereafter incurred shall be paid within fifteen (15) days after notice thereof is given to Borrowers by the Agent.
Reimbursement of Agent. The Agent may from time to time, at its option, perform any agreement, obligation or covenant of Debtor hereunder which Debtor shall fail to perform, and take any other action which the Agent reasonably deems necessary for the maintenance or preservation of any of the Collateral or its interest therein, and Debtor agrees to forthwith reimburse the Agent for all reasonable expenses of the Agent in connection with the foregoing, together with interest thereon at the Default Rate from the date of notice thereof to Debtor until reimbursed by the Agent.
Reimbursement of Agent. Any Lender seeking to effect any transfer under this Clause 20 shall reimburse the Agent on demand for all costs, charges and expenses (including legal fees on a full indemnity basis) reasonably incurred in connection therewith.
