Reimbursement for Premiums. Southern Energy shall promptly pay or reimburse Southern, as the case may be, for premium expenses, and Southern Energy Covered Parties shall promptly pay or reimburse Southern for any costs and expenses which Southern may incur in connection with the insurance coverages maintained pursuant to this Section 2.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by Southern Energy and Southern Energy Covered Parties to Southern shall be made within fifteen (15) days after Southern Energy's receipt of an invoice from Southern.
Reimbursement for Premiums. Aquila shall promptly pay or reimburse UtiliCorp for premium expenses which UtiliCorp may incur in respect of or in connection with the insurance coverages maintained pursuant to this Section 5.1, including but not limited to any subsequent premium adjustments. Aquila will also reimburse UtiliCorp for all direct and indirect costs and expenses incurred to pursue insurance recoveries from Insurance Policies for Insured Aquila Liabilities, plus an administrative fee of 1% of such costs and expenses. All payments and reimbursements by Aquila and Aquila Covered Parties to UtiliCorp shall be made within 15 days after Aquila's receipt of an invoice from UtiliCorp. Late payments or reimbursements shall accrue interest at the lesser of 18% or the maximum rate permitted by law.
Reimbursement for Premiums. Agilent shall promptly pay or reimburse HP, as the case may be, for premium expenses, and Agilent Covered Parties shall promptly pay or reimburse HP for any costs and expenses which HP may incur in connection with the insurance coverages maintained pursuant to this Section 2.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by Agilent and Agilent Covered Parties to HP shall be made within fifteen (15) days after Agilent's receipt of an invoice from HP.
Reimbursement for Premiums. Luminent shall promptly pay or reimburse MRV, as the case may be, for premium expenses, and Luminent Covered Parties shall promptly pay or reimburse MRV for any costs and expenses which MRV may incur in connection with the insurance coverages maintained pursuant to this Section 2.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by Luminent and Luminent Covered Parties to MRV shall be made within thirty (30) days after Luminent's receipt of an invoice from MRV.

The Partnership shall promptly pay or reimburse Cadence, as the case may be, for premium expenses, and Tality Covered Parties shall promptly pay or reimburse Cadence for any costs and expenses which Cadence may incur in connection with the insurance coverages maintained pursuant to this Section 3.1, including to any subsequent premium adjustments. All payments and reimbursements by the Partnership and Tality Covered Parties to Cadence shall be made within thirty (30) days after the Partnership's receipt of an invoice from Cadence.

Supply Holdco shall promptly pay or reimburse Allegheny, as the case may be, for premium expenses, and Supply Holdco Covered Parties shall promptly pay or reimburse Allegheny for any costs and expenses which Allegheny may incur in connection with the insurance coverages maintained pursuant to this Section 3.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by Supply Holdco and Supply Holdco Covered Parties to Allegheny shall be made within fifteen (15) days after Supply Holdco's receipt of an invoice from Allegheny.

Optical Access shall promptly pay or reimburse MRV, as the case may be, for premium expenses, and Optical Access Covered Parties shall promptly pay or reimburse MRV for any costs and expenses which MRV may incur in connection with the insurance coverages maintained pursuant to this Section 2.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by Optical Access and Optical Access Covered Parties to MRV shall be made within thirty (30) days after Optical Access's receipt of an invoice from MRV.

Palm shall promptly pay or reimburse 3Com, as the case may be, for premium expenses, and Palm Covered Parties shall promptly pay or reimburse 3Com for any costs and expenses which 3Com may incur in connection with the insurance coverages maintained pursuant to this SECTION 2.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by Palm and Palm Covered Parties to 3Com shall be made within thirty (30) days after Palm's receipt of an invoice from 3Com.

SNAP shall promptly pay or reimburse Quantum, as the case may be, for premium expenses, and SNAP Covered Parties shall promptly pay or reimburse Quantum for any costs and expenses which Quantum may incur in connection with the insurance coverages maintained pursuant to this SECTION 2.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by SNAP and SNAP Covered Parties to Quantum shall be made within thirty (30) days after SNAP's receipt of an invoice from Quantum.
Reimbursement for Premiums. PalmSource shall promptly pay or reimburse Palm, as the case may be, for premium expenses, to be allocated between Palm and PalmSource according to their respective Shared Percentages, and PalmSource shall promptly pay or reimburse Palm for any costs and expenses which Palm may incur in connection with the insurance coverages maintained pursuant to this Section 2.1, including but not limited to any subsequent premium adjustments. All payments and reimbursements by PalmSource to Palm shall be made within thirty (30) days after PalmSource’s receipt of an invoice from Palm.
