Regulatory Amendment. The Company may amend this Addendum to comply with the requirements of state and federal regulatory authorities, and shall give written notice to Agent of such amendment and its effective date. Unless such regulatory authorities direct otherwise, the signature of Agent will not be required.
Regulatory Amendment. An amendment to bring Liberty Dental and/or Producer into compliance with an applicable law or regulation (including an interpretation of law by a regulatory agency or court), is effective immediately upon the effective date of the applicable law or regulation or upon any other date specified by Liberty Dental in any notice.

If such regulatory amendment materially affects the position of either party or renders it illegal for a party to continue to perform under the Agreement in a manner consistent with the parties’ intent, then the parties shall negotiate further amendments to this Exhibit or the Agreement as necessary to correct any inequities, to the greatest extent possible. Prior to the implementation of such modifications, the parties shall negotiate in good faith additional fees and costs owed by United for such additional services.
