Regulatory Acts. Borrower is not an “investment company” or “controlled” by an “investment company” within the meaning of the Investment Company Act of 1940, as amended, nor is Borrower subject to regulation under the Federal Power Act, the Interstate Commerce Act, or any other Law (other than Regulation X of the Board of Governors of the Federal Reserve System) which regulates the incurring by Borrower or Guarantor of debt, including, without limitation, Laws regulating common or contract carriers or the sale of electricity, gas, steam, water, or other public utility serves.

Regulatory Acts. The consummation of the transactions contained herein or contemplated hereby or in any Transaction Documents shall not subject the Purchaser or any participant to, nor violate in whole or in part, any provision of the Regulatory Acts or any other Applicable Law which in the opinion of such participant may impose, by operation, implication or otherwise, an unduly onerous burden on the Purchaser or on such participant, or cause the Purchaser to be a "holding company", a "subsidiary company" of a "holding company" or an "affiliate" of a "holding company" within the meaning of the Holding Company Act.
