Customer acknowledges and agrees that (a) the Goods have not been approved, cleared or licensed by the United Stated Food and Drug Administration or other regulatory entity, whether foreign or domestic, for any specific intended use; (b) the Goods are not for use in diagnostic, therapeutic or clinical procedures; (c) the Goods should be used in strict accordance with applicable instructions and Documentation and (d) Customer must ensure it has any regulatory approvals necessary for Customer’s intended use of the Goods. Customer further acknowledges and agrees to comply with all applicable Laws when using, maintaining and disposing of the Goods.

CareDx acknowledges that the Supplied Products have not been subjected to regulatory review or approved or cleared by the United States Food and Drug Administration or any other regulatory entity whether foreign or domestic, or otherwise reviewed, cleared or approved under any statute, law, rule or regulation for any purpose, whether research, commercial, diagnostic or otherwise. The products are labeled For Research Use Only. Illumina does not make any representation, warranty, or covenant that pertains in any way to the regulatory status of the products. CareDx agrees to use the Supplied Products in compliance with all applicable laws and regulations. EXHIBIT C
Regulatory Acknowledgement. Buyer acknowledges that its obligations to the Seller under this Agreement are not contingent on, or subject to, any other governmental or other regulatory approval.

The parties to this Agreement acknowledge and agree that any negative covenant set forth in this Section 6.02 and requiring regulatory approval pursuant to Gaming Laws in Nevada or Mississippi is not binding or enforceable unless or until approved by the applicable Nevada Gaming Authorities and Mississippi Gaming Authorities.

The parties hereby acknowledge and agree that the risk of unanticipated additional terms or conditions being imposed by regulatory authorities or other government entities (including the Bureau) is beyond the control of the Seller and the Buyer, and that the parties may need to extend the Outside Closing Date (to a date not to exceed May 29, 2020) in order for the Bureau to issue new cemetery and crematory licenses in order that the Buyer may properly and legally operate the cemetery and crematory Business, unless the Bureau agrees to allow the Buyer to operate the cemetery and crematory Business after Closing and before issuing such new licenses to Buyer (in which case no extension of the Outside Closing Date shall be required).
