Regulated Business. You represent, warrant and covenant that Your businesses and activities will not cause, nor could cause, LinkShare or any Site with which You have entered into a LinkShare-tracked engagement to be or become subject to any law, rule or regulation adversely affecting LinkShare or such Site, and You shall defend and indemnify LinkShare and such Sites against any such adverse effect.

Regulated Business. Without limiting the generality of the representation and warranty set forth in Section 3.1(e), the Company represents and warrants that it has been issued such licenses or permits as are required to conduct its business as being conducted as of the date hereof, including but not limited to your license to be a supplier of durable medical equipment, orthotics, prosthetics, and supplies ("DMEPOS") issued by the Centers for Medicare & Medicaid Services and your license from the State of Florida to be a Home Medical Equipment and Services provider ("HME"), and as Company intends to conduct its business at least during the term of the Loan. None of the individuals in its employ are required to have any licenses to operate the Company's business. Copies of the DMEPOS and HME licenses are attached hereto as Schedule 3.1(f).
Regulated Business. Neither the Company nor any of its Subsidiaries is engaged in any banking, investment management, telecommunications or public utility business.
Regulated Business. The Company will continue its status as a regulated gas public utility company subject to regulation by the relevant Governmental Authorities.
Regulated Business. The Company shall not, and shall cause its Subsidiaries not to, become engaged in insurance, banking or financing services, telecommunications or public utility businesses or any other similarly regulated businesses.

No Covered Person, the Sponsor, the Delaware Trustee or the Property Trustee shall be obligated to present any particular investment or other opportunity to the Trust even if such opportunity is of a character that, if presented to the Trust, could be taken by the Trust, and any Covered Person, the Sponsor, the Delaware Trustee and the Property Trustee shall have the right to take for its own account (individually or as a partner or fiduciary) or to recommend to others any such particular investment or other opportunity. Any Covered Person, the Delaware Trustee and the Property Trustee may engage or be interested in any financial or other transaction with the Sponsor or any Affiliate of the Sponsor, or may act as depositary for, trustee or agent for, or act on any committee or body of holders of, securities or other obligations of the Sponsor or its Affiliates.

  • Regulated Entities None of the Company, any Person controlling the Company, or any Subsidiary, is an "Investment Company" within the meaning of the Investment Company Act of 1940. The Company is not subject to regulation under the Public Utility Holding Company Act of 1935, the Federal Power Act, the Interstate Commerce Act, any state public utilities code, or any other Federal or state statute or regulation limiting its ability to incur Indebtedness.

  • Regulated Industries Neither the Borrower nor any of its Subsidiaries is (i) an "investment company," a company "controlled" by an "investment company," or an "investment advisor," within the meaning of the Investment Company Act of 1940, as amended, or (ii) a "holding company," a "subsidiary company" of a "holding company," or an "affiliate" of a "holding company" or of a "subsidiary company" of a "holding company," within the meaning of the Public Utility Holding Company Act of 1935, as amended.

  • Separate Business CAC shall not: (i) fail to maintain separate books, financial statements, accounting records and other corporate documents from those of Funding; (ii) commingle any of its assets or the assets of any of its Affiliates with those of Funding (except to the extent that CAC acts as the Servicer of the Loans); (iii) pay from its own assets any obligation or indebtedness of any kind incurred by Funding (or the Trust); and (iv) directly, or through any of its Affiliates, borrow funds or accept credit or guaranties from Funding.

  • Business Activity As long as this Note shall remain outstanding, Maker shall make no change in its business activity that would make it or any of its business activities non-compliant with SBA regulations and guidelines.

  • Limitation on Business Activities The Issuer will not, and will not permit any Restricted Subsidiary to, engage in any business other than a Permitted Business.
