Common use of Registration Statement Form Clause in Contracts

Registration Statement Form. If any registration requested pursuant to this Section 3 which is proposed by the Company to be effected by the filing of a registration statement on Form S-3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offering, and if the managing underwriter shall advise the Company in writing that, in its opinion, the use of another form of registration statement is of material importance to the success of such proposed offering, then such registration shall be effected on such other form.

Registration Statement Form. If any registration requested pursuant to this Section 3 which is proposed by the Company Corporation to be effected by the filing of a registration statement Registration Statement on Form S-3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offeringPublic Offering, and if the managing underwriter shall advise the Company Corporation in writing that, in its opinion, the use of another form of registration statement Registration Statement is of material importance to the success of such proposed offeringoffering or is otherwise required by applicable law, then such registration shall be effected on such other form.

If any registration requested pursuant to this Section 3 which is proposed by the Company to be effected by the filing of a registration statement Registration Statement on Form S-3 S 3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offering, and if the managing underwriter shall advise the Company in writing that, in its reasonable opinion, the use of another form of registration statement Registration Statement is of material importance to the success of such proposed offeringoffering or is otherwise required by applicable law, then such registration shall be effected on such other form.

If any registration requested pursuant to this Section 3 which 4 that is proposed by the Company AremisSoft to be effected by the filing of a registration statement on Form S-3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offering, and if the managing underwriter underwriter(s) shall advise the Company AremisSoft in writing that, in its opinion, the use of another form of registration statement is of material importance to the success of such proposed offering, then such registration shall be effected on such other form.

Registration Statement Form. If any registration requested pursuant to this Section 3 which is proposed by the Company Corporation to be effected by the filing of a registration statement Registration Statement on Form S-3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offeringPublic Offering, and if the managing underwriter shall advise the Company Corporation in writing that, in its opinion, the use of another form of registration statement Registration Statement is of material importance to the success of such proposed offeringoffering or is required by applicable law, then such registration shall be effected on such other form.

If any registration requested pursuant to this Section 3 11.2 which is proposed by the Company to be effected by the filing of a registration statement on Form S-3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offering, and if the managing underwriter shall advise the Company in writing that, in its opinion, the use of another form of registration statement is of material importance to the success of such proposed offering, then such registration shall be effected on such other form.

If any registration requested pursuant to this Section 3 which is proposed by the Company IPO Corporation to be effected by the filing of a registration statement Registration Statement on Form S-3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offeringPublic Offering, and if the managing underwriter shall advise the Company IPO Corporation in writing that, in its reasonable opinion, the use of another form of registration statement Registration Statement is of material importance to the success of such proposed offeringoffering or is otherwise required by applicable law, then such registration shall be effected on such other form.

Registration Statement Form. If any registration requested pursuant to this Section 3 4 which is proposed by the Company to be effected by the filing of a registration statement on Form S-3 (or any successor or similar short-form registration statement) shall be in connection with an underwritten public offering, and if the managing underwriter or underwriters shall advise the Company in writing that, in its opinion, the use of another form of registration statement or the inclusion in such form of public information concerning the Company not required by such form is of material importance to the success of such proposed offering, then such registration shall be effected on such other form.form and such other information shall be used or included.
