Registration and Safekeeping of Deposited Securities. The Depositary shall instruct the Custodian upon each Delivery of certificates representing registered Shares being deposited hereunder with the Custodian (or other Deposited Securities pursuant to Article IV hereof), together with the other documents above specified, to present such certificate(s), together with the appropriate instrument(s) of transfer or endorsement, duly stamped, to the Share Registrar for transfer and registration of the Shares (as soon as transfer and registration can be accomplished and at the expense of the person for whom the deposit is made) in the name of the Depositary, the Custodian or a nominee of either. Deposited Securities (whether in bearer or book-entry form) shall be held by the Depositary or by a Custodian for the account and to the order of the Depositary or a nominee the Warrant Nominee in each case on behalf of the Holders and Beneficial Owners, at such place or places as the Depositary or the Custodian shall determine. Without limitation of the foregoing, the Depositary shall not knowingly accept for deposit under this ADW Deposit Agreement any Shares Warrants or other Deposited Securities required to be registered under the provisions of the Securities Act, unless a registration statement is in effect as to such Shares Warrants or other Deposited Securities, or any Shares Warrants or other Deposited Securities the deposit of which would violate any provisions of the Articles of Association of the CompanyCompany or the Warrant Terms and Conditions.

In addition, and without limitation of the foregoing, the Depositary and the Custodian will comply with written instructions of the Company not to accept for deposit any Shares identified in such instructions at such times and under such circumstances as may reasonably be specified in such instructions in order to facilitate the Company's compliance with the securities laws of the United States and other jurisdictions.

Deposited Securities shall be held by the Depositary or by a Custodian for the account and to the order of the Depositary or a nominee nominee, in each case on behalf of the Holders and Beneficial Owners, at such place or places as the Depositary or the Custodian shall determine. Neither the Depositary nor the Custodian may dispose of or pledge any of the Deposited Securities unless specifically permitted under this Deposit Agreement. Without limitation of the foregoing, neither the Depositary nor the Custodian, or any nominee, agent or person acting on their behalf shall not knowingly accept for deposit under this Deposit Agreement any Shares or other Deposited Eligible Securities required to be registered under the provisions of the Securities Act, unless a registration statement is in effect as to such Shares or other Deposited Eligible Securities, or any Shares or other Deposited Eligible Securities the deposit of which would violate any provisions of the Articles of Association Incorporation of the Company.

In addition, and without limitation of the foregoing, the Depositary and the Custodian will comply with written instructions of the Company not to accept for deposit any Shares identified in such instructions at such times and under such circumstances as may reasonably be specified in such instructions in order to facilitate the Company's compliance with the securities laws of the United States and other jurisdictions; provided that the Company shall indemnify the Depositary and the Custodian for any claims and losses arising from not accepting the deposit of any Shares identified in the Company's instructions.

Deposited Securities shall be held by the Depositary or by a Custodian for the account and to the order of the Depositary or a nominee in each case on behalf of the Holders and Beneficial Owners, at such place or places as the Depositary or the Custodian shall determine. Without limitation of the foregoing, the Depositary shall not knowingly accept for deposit under this Deposit Agreement any Shares or other Deposited Securities required to be registered under the provisions of the Securities Act, unless a registration statement is in effect as to such Shares or other Deposited SecuritiesSecurities or such Shares or other Deposited Securities will be issued pursuant to an exemption from registration under the Securities Act, or any Shares or other Deposited Securities the deposit of which would violate any provisions of the Articles of Association of the Company.

Registration and Safekeeping of Deposited Securities. The Depositary shall instruct the Custodian upon each Delivery of certificates representing registered Shares being deposited hereunder with the Custodian (or other Deposited Securities pursuant to Article IV hereof), together with the other documents above specified, to present such certificate(s), together with the appropriate instrument(s) of transfer or endorsement, duly stamped, to the Share Registrar for transfer and registration of the Shares (as soon as transfer and registration can be accomplished and at the expense of the person for whom the deposit is made) in the name of the Depositary, the Custodian or a nominee of either. Deposited Securities shall be held by the Depositary or by a Custodian for the account and to the order of the Depositary or a nominee in each case on behalf of the Holders and Beneficial Owners, at such place or places as the Depositary or the Custodian shall determine. Without limitation of the foregoing, the Depositary shall not knowingly accept for deposit under this Deposit Agreement any Shares or other Deposited Securities required to be registered under the provisions of the Securities Act, unless a registration statement is in effect as to such Shares or other Deposited Securities, or any Shares or other Deposited Securities the deposit of which would violate any provisions of the Articles of Association Association, Memorandum of Association, or any shareholders’ agreement of, the CompanyCompany or applicable law. Shares may not be deposited by persons located in India or residents of India or by persons acting on behalf of such persons located in India or residents of India, except for deposits of Shares by the Company on behalf of persons located and residing outside India.
