Common use of Registered Members Clause in Contracts

Registered Members. The Company will be entitled to treat the holder of record of any Class A Membership Interest as the holder in fact of such Class A Membership Interest for all purposes, and, accordingly, will not be bound to recognize any equitable or other claim to interest in such Class A Membership Interest on the part of any other Person, whether or not the Company has express or other notice of such claim or interest, except as expressly provided in this Agreement or the laws of the State of Delaware.

Registered Members.
