Registered IP. “Registered IP” shall mean all Intellectual Property Rights that are registered, filed, or issued under the authority of any Governmental Body, including all patents, registered copyrights, registered mask works, and registered trademarks and all applications for any of the foregoing.

Registered IP. Part 2.10(a) of the Disclosure Schedule accurately identifies: (i) each item of Company Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person or otherwise); (ii) the jurisdiction in which such item of Company Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Company Registered IP and the nature of such ownership interest.

Registered IP. Part 2.9(b) of the Disclosure Schedule accurately identifies: (a) each item of Registered IP in which any Acquired Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person, or otherwise); (b) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; (c) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest; and (d) each Acquired Company Product identified in Part 2.9(a) of the Disclosure Schedule that embodies, utilizes, or is based upon or derived from (or with respect to Acquired Company Products currently under development, that is expected to embody, utilize or be based upon or derived from) such item of Registered IP. The Acquired Company has provided to Parent complete and accurate copies of all applications, correspondence with any Governmental Body, and other material documents related to each such item of Registered IP.
Registered IP. Schedule 3.16(b) accurately identifies: (a) each item of Registered Intellectual Property in which Seller has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person, or otherwise); (b) the jurisdiction in which such item of Registered Intellectual Property has been registered or filed and the applicable registration or serial number; (c) any other Person that has an ownership interest in such item of Registered Intellectual Property and the nature of such ownership interest; and (d) each Seller Product identified in Schedule 3.16(a) that embodies, utilizes, or is based upon or derived from (or, with respect to Seller Products currently under development, that is expected to embody, utilize, or be based upon or derived from) such item of Registered Intellectual Property. Seller has provided or otherwise granted access to Buyer complete and accurate copies of all applications, correspondence with any governmental entity, and other material documents related to each such item of Registered Intellectual Property.
Registered IP. Section 2.14(b)(1) of the Disclosure Letter sets forth an accurate and complete list of all registered Marks, other than those Marks that the Company and its Subsidiaries have not actively used in the ordinary course of business since February 9, 2004 (collectively, the "XXXXX XXXXX"), owned (in whole or in part) by the Company or any Subsidiary (collectively "COMPANY REGISTERED MARKS"), Section 2.14(b)(2) of the Disclosure Letter sets forth an accurate and complete list of all Patents owned (in whole or in part) by, or exclusively licensed to, the Company or any Subsidiary (collectively the "COMPANY PATENTS") and Section 2.14(b)(3) of the Disclosure Letter sets forth an accurate and complete list of all registered Copyrights owned (in whole or in part) by the Company or any Subsidiary, and all pending applications for registration of Copyrights filed anywhere in the world that are owned (in whole or in part) by the Company or any Subsidiary (collectively the "COMPANY REGISTERED COPYRIGHTS" and, together with the Company Registered Marks and the Company Patents, the "COMPANY REGISTERED IP"). No Company Registered IP has been or is currently involved in any interference, reissue, reexamination, opposition, cancellation or similar proceeding and, to the knowledge of the Company, no such action is or has been threatened with respect to any of the Company Registered IP. All Company Registered IP has been registered or obtained in accordance with applicable legal requirements, is currently in full force and effect except for the Xxxxx Xxxxx and the Company Registered IP identified in Section 2.14(b)(4) of the Disclosure Letter that the Company or any Subsidiary decided in its reasonable business judgment to abandon, not to enforce or to allow to lapse (provided that no representation and warranty is made regarding the effectiveness of any patent applications), and, except as set forth in Section 2.14(b)(4) of the Disclosure Letter, neither the Company nor any Subsidiary has received any notice or claim challenging the validity or enforceability or alleging the misuse of any of the Company Registered IP, or, to the knowledge of the Company, questioning the validity or enforceability of any of the Company Registered IP. Registered IP. (i) Schedule 4.13(a) contains a complete and accurate list of all Registered IP owned or purported to be owned by or filed in the name of a Seller, which list identifies (A) the jurisdiction in which each item of Registered IP has been registered or filed, and (B) any item of Registered IP that is jointly owned with any other Person.

Registered IP. Section 3.15(b) of the Seller Disclosure Schedule accurately identifies as of the date of this Agreement (i) each item of Company Registered IP, (ii) the jurisdiction in which such item of Company Registered IP has been registered or filed and the applicable application, registration, or serial or other similar identification number, (iii) any other Person that has an ownership interest in such item of Company Registered IP and the nature of such ownership interest and (iv) all material unregistered trademarks used in connection with the Company’s products or services. The Company has provided to Buyer complete and accurate copies of all applications, material correspondence with Governmental Authorities, and other material documents related to each such item of Company Registered IP.
