Common use of Regarding Seller's Authority Clause in Contracts

Regarding Seller's Authority. 6.3.1.1 Seller is a limited partnership in dissolution under the laws of the State of New York. Seller has the power and authority to enter into this Agreement and the Conveyance Documents and, to sell the Property on the terms set forth in this Agreement. The execution and delivery hereof and the performance by Seller of its obligations hereunder, will not violate or constitute an event of default under any material terms or material provisions of any agreement, document, instrument, judgment, order or decree to which Seller is a party or by which Seller is bound and/or violate any applicable law, rule or regulation, the violation of which would have a Material effect upon the principal benefits intended to be provided by this Agreement.
