Common use of Refusal to Transfer Clause in Contracts

Refusal to Transfer. Any attempt by any Seller to Transfer any Stock in violation of any provision of this Agreement will be void. The Company will not be required (i) to transfer on its books any Stock that has been sold, gifted or otherwise Transferred in violation of this Agreement, or (ii) to treat as owner of such Stock, or to accord the right to vote or pay dividends to any purchaser, donee or other transferee to whom such Stock may have been so Transferred.

Refusal to Transfer. Any Subject to Section 6.2 below, any attempt by any Seller to Transfer any Stock in violation of any provision of this Agreement will be void. The Company will not be required (i) to transfer on its books any Stock that has been sold, gifted or otherwise Transferred in violation of this Agreement, or (ii) to treat as owner of such Stock, or to accord the right to vote or pay dividends to any purchaser, donee or other transferee to whom such Stock may have been so Transferred.

The Company will not be required (i) to transfer on its books any Stock that has been sold, gifted or otherwise Transferred transferred in violation of this Agreement, or (ii) to treat as owner of such Stock, or to accord the right to vote or pay dividends to any purchaser, donee or other transferee to whom such Stock may have been so Transferredtransferred.

The Company will not be required (ia) to transfer on its books any Stock that has been sold, gifted or otherwise Transferred transferred in violation of this Agreement, or (iib) to treat as owner of such Stock, or to accord the right to vote to or pay dividends to any purchaser, donee or other transferee to whom such Stock may have been so Transferredtransferred.

The Without first obtaining the written approval of each Investor, the Company will not be required (ia) to transfer on its books any Stock that has been sold, gifted or otherwise Transferred transferred in violation of this Agreement, Agreement or (iib) to treat as owner of such Stock, or to accord the right to vote to, or pay dividends to to, any purchaser, donee or other transferee to whom such Stock may have been so Transferredtransferred.

Refusal to Transfer. Any Regardless of anything else contained in this Agreement, any attempt by any Seller Shareholder to Transfer any beneficial or record ownership of any Stock in violation of any provision of this Agreement will be voidvoid and shall not confer on any transferee or purported transferee any rights whatsoever. The Company will not be required (ia) to transfer on its books any Stock that has been sold, gifted or otherwise Transferred in violation of this Agreement, or (iib) to treat as owner of such Stock, or to accord the right to vote to or pay dividends to any purchaser, donee or other transferee to whom such Stock may have been so Transferred.

The Company will not be required to (i) to transfer on its books any Subject Stock that has been sold, gifted or otherwise Transferred in violation of this Agreement, or (ii) to treat as owner of such Subject Stock, or to accord the right to vote or pay dividends to any purchaser, donee or other transferee to whom such Subject Stock may have been so Transferred.

The Company will not be required required: (i) to transfer on its books any shares of Common Stock that has have been sold, gifted or otherwise Transferred transferred in violation of this Agreement, ; or (ii) to treat as an owner of such shares of Common Stock, or to accord the right to vote or pay dividends to any purchaser, donee or other transferee Transferee to whom such Stock shares may have been so Transferredtransferred.
