References to the Board. Whenever this Agreement references a decision of or deliberations by the Board in the context of a benefit to be conferred or conditions imposed on Executive or Executive’s performance hereunder, the Board shall constitute those members of the Board of Directors, excluding Executive or his alternate, and all such deliberations and decisions shall be undertaken and made only with the approval of such individuals.
