Records and Reports; Audits. 4.1 The Service Provider shall keep full and true books and records in accordance with GAAP, applied consistently, in respect of Services provided pursuant to this Agreement and any SOW (hereinafter the “Records”) and maintain the Records for the purposes of inspections for the longer of: (i) a period of ten (10) years from creation of the Record; or (ii) a period prescribed by Synchrony Bank’s applicable document retention policies.

Records and Reports; Audits. 6.8.1 The Board of Managers shall cause to be kept, at the principal place of business of the Company, or at such other location as the Board of Managers shall deem appropriate, full and proper ledgers, other books of account, and records of all receipts and disbursements, other financial activities, and the internal affairs of the Company for at least the current and past four (4) fiscal years, and for any longer period as may be required by applicable law with respect to the Company, or as reasonably requested by any Member to the extent required under applicable law with respect to such Member.
Records and Reports; Audits. Cytomedix shall keep true and accurate records and books of account containing information necessary for the determination of the Royalty payable hereunder. These records and books of account shall upon reasonable notice be available during business hours for inspection by Curative. Curative shall be entitled to conduct an audit, upon thirty (30) days' prior written notice to Cytomedix, of such books and records. Curative may engage an independent third party auditor to conduct such audits. Cytomedix shall be entitled to receive a copy of any audit reports produced by or on behalf of Curative hereunder. In the event any such audit reveals a greater than five percent (5%) discrepancy between the correct amount of the Royalty which should have been paid by Cytomedix pursuant to the terms herein during the period covered by such audit and the actual amount of the Royalty paid by Cytomedix during such period, Cytomedix shall reimburse Curative for the costs of such audit.

Vivo shall be entitled to conduct an audit, once quarterly upon thirty (30) days' prior written notice to Enzon, of such books and records. Vivo may engage an independent third party auditor to conduct such audits. Enzon shall be entitled to receive a copy of any audit reports produced by or on behalf of Vivo hereunder.   • Records, Audits and Reports At the expense of the Company, the Managers shall maintain records and accounts of all operations and expenditures of the Company.

  • Accounting Records and Reports The Trustee will keep or cause to be kept proper books of record and accounts in which complete and correct entries shall be made of all transactions relating to the receipts, disbursements, allocation and application of the Revenues, and such books shall be available for inspection by the Authority at reasonable hours and under reasonable conditions. The Trustee shall provide to the Authority monthly statements covering the funds and accounts held pursuant to the Trust Agreement.   • Inspection of Records and Reports Every Trustee shall have the right at any reasonable time to inspect all books, records, and documents of every kind and the physical properties of the Trust. This inspection by a Trustee may be made in person or by an agent or attorney and the right of inspection includes the right to copy and make extracts of documents. No Shareholder shall have any right to inspect any account, book or document of the Trust that is not publicly available, except as conferred by the Trustees.   • Records and Reports of Inventory Each Borrower shall keep accurate and complete records of its Inventory, including costs and daily withdrawals and additions, and shall submit to Agent inventory and reconciliation reports in form satisfactory to Agent, on such periodic basis as Agent may request. The accounting firm shall disclose to the auditing Party only whether the reports are correct or incorrect and the amount of any discrepancy. No other Confidential Information shall be provided. If such accounting firm correctly identifies a discrepancy made during such period, the appropriate Party shall pay the other Party the amount of the discrepancy within [***] of the date of delivery of such accounting firm’s written report so correctly concluding, or as otherwise agreed upon by the Parties. The fees charged by such accounting firm shall be paid by the auditing Party, provided that if the underpayment or overcharge exceeds [***], the audited Party shall pay the fees. Upon the expiration of [***] following the end of any Calendar Year, absent willful misconduct or fraud by a Party (its Affiliates, as applicable) the calculation of amounts payable with respect to such Calendar Year shall be binding and conclusive upon the Parties, and the Parties shall be released from any liability or accountability with respect to amounts payable for such Calendar Year. The auditing Party shall treat all financial information subject to review under this Section 8.6(c) in accordance with the confidentiality and non-use provisions of this Agreement, and shall cause its accounting firm to enter into an acceptable confidentiality agreement with the audited Party obligating it to retain all such Confidential Information in confidence pursuant to such confidentiality agreement.
