Common use of Recordkeeping Clause in Contracts

Recordkeeping. The Sub-Adviser shall not be responsible for the provision of administrative, bookkeeping or accounting services to the Fund, except as otherwise provided herein or as may be necessary for the Sub-Adviser to supply to the Adviser, the Trust or its Board the information required to be supplied under this Agreement. The Sub-Adviser shall maintain separate books and detailed records of all matters pertaining to the Fund's assets advised by the Sub-Adviser required by Rule 31a-1 under the 1940 Act (other than those records being maintained by the Adviser, or any administrator custodian or transfer agent appointed by the Fund) relating to its responsibilities provided hereunder with respect to the Fund, and shall preserve such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the "Fund Books and Records"). The Fund Books and Records shall be available to the Adviser and the Board at any time upon request shall be delivered to the Trust upon the termination of this Agreement and shall be available without delay during any day the Trust is open for business.

The Fund Books and Records shall be available to the Adviser and the Board at any time upon request shall be delivered to the Trust Funds upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust is Funds are open for business.

The Fund Funds' Books and Records shall be available to the Adviser and the Board at any time upon request request, copies of which shall be delivered to the Trust Funds upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust is Funds are open for business.

The Fund Trust's Books and Records shall be available to the Adviser and the Board at any time upon request request, copies of which shall be delivered to the Trust upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust is open for business.

The Fund Fund's Books and Records shall be available to the Adviser and the Board at any time upon request request, shall be delivered to the Trust Fund upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust Fund is open for business.

The Sub-Adviser shall maintain separate books and detailed records of all matters pertaining to the FundPortfolio's assets advised by the Sub-Adviser required by Rule 31a-1 under the 1940 Act (other than those records being maintained by the Adviser, or any administrator custodian or transfer agent appointed by the Fund) relating to its responsibilities provided hereunder with respect to the FundPortfolio, and shall preserve such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the "Fund Books and Records"). The Fund Books and Records shall be available to the Adviser and the Board at any time upon request reasonable request, shall be delivered to the Trust upon the termination of this Agreement (provided that Sub-Adviser may maintain copies of the books and records for regulatory purposes) and shall be available without unreasonable delay during any day the Trust is open for business.

Recordkeeping. The Sub-Adviser shall not be responsible for the provision of administrative, bookkeeping or accounting services to the Fund, except as otherwise provided herein or as may be necessary for the Sub-Adviser to supply to the Adviser, the Trust Fund or its Board the information required to be supplied under this Agreement. The Sub-Adviser shall maintain separate books and detailed records of all matters pertaining to the Fund's assets advised by the Sub-Adviser required by Rule 31a-1 3la-1 under the 1940 Act (other than those records being maintained by the Adviser, or any administrator custodian or transfer agent appointed by the Fund) relating to its responsibilities provided hereunder with respect to the Fund, and shall preserve such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the "Fund Fund's Books and Records"). The Fund Fund's Books and Records shall be available to the Adviser and the Board at any time upon request request, shall be delivered to the Trust Fund upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust Fund is open for business.

The Fund Books and Records shall be available to the Adviser and the Board at any time upon reasonable request and copies of the Fund Books and Records shall be delivered to the Trust upon the termination of this Agreement upon request and shall be available without unreasonable delay during any day the Trust is open for business.

The Sub-Adviser shall maintain separate books and detailed records of all matters pertaining to the Fund's assets advised by the Sub-Adviser Assets required by Rule 31a-1 under the 1940 Act (other than those records being maintained by the Adviser, or any administrator custodian or transfer agent appointed by the Fund) relating to its responsibilities provided hereunder with respect to the Fund, and shall preserve such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the "Fund Books and Records"). The Fund Books and Records shall be available to the Adviser and the Board at any time promptly upon request and shall be delivered to the Trust in a form requested by the Adviser, which may include an electronic format, upon the termination of this Agreement and shall shall, upon request, be available without delay promptly during any day the Trust is open for business.

The Sub-Adviser shall not be responsible for the provision of administrative, bookkeeping or accounting services to the FundFunds, except as otherwise provided herein or as may be necessary for the Sub-Adviser to supply to the Adviser, the Trust Funds or its the Board the information required to be supplied under this Agreement. The Sub-Adviser shall maintain separate books and detailed records of all matters pertaining to the Fund's Funds’ assets advised by the Sub-Adviser required by Rule 31a-1 under the 1940 Act (other than those records being maintained by the Adviser, or any administrator administrator, custodian or transfer agent appointed by the FundFunds) relating to its responsibilities provided hereunder with respect to the FundFunds, and shall preserve such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the "“Fund Books and Records"”). The Fund Books and Records shall be available to the Adviser and the Board at any time upon request shall be delivered to the Trust Funds upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust is Funds are open for business.

The Fund Books and Records shall be available to the Adviser and the Board at any time upon request shall be delivered to the Trust Fund upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust is Fund are open for business.

The Sub-Adviser shall maintain separate books and detailed records of all matters pertaining to the each Fund's assets advised by the Sub-Adviser required by Rule 31a-1 under the 1940 Act (other than those records being maintained by the Adviser, or any administrator custodian or transfer agent appointed by the FundFunds) relating to its responsibilities provided hereunder with respect to the FundFunds, and shall preserve such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the "Fund Books and Records"). The Fund Books and Records shall be available to the Adviser and the Board at any time upon request request, shall be delivered to the Trust Funds upon the termination of this Agreement and shall be available for telecopying without delay during any day the Trust is Funds are open for business. The Sub-Adviser may retain copies of the Fund Books and Records as required by applicable law.

The Sub-Adviser shall not be responsible for the provision of administrative, bookkeeping or accounting services to the Fund, except as otherwise provided herein or as may be necessary for the Sub-Adviser to supply to the Adviser, the Trust or its Board the information required to be supplied under this Agreement. The Sub-Adviser shall maintain separate books and detailed records of all matters pertaining to the Fund's assets advised by the Sub-Adviser required by Rule 31a-1 3la-1 under the 1940 Act (other than those records being maintained by the Adviser, or any administrator custodian or transfer agent appointed by the Fund) relating to its responsibilities provided hereunder with respect to the Fund, and shall preserve such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the "Fund Books and Records"). The Fund Books and Records shall be available to the Adviser and the Board at any time upon request shall be delivered to the Trust upon the termination of this Agreement and shall be available without delay during any day the Trust is open for business.

The Fund Books and Records shall be available to the Adviser and the Board at any time upon reasonable request shall be delivered to the Trust upon the termination of this Agreement and shall be available without delay during any day the Trust is open for business; provided that the Sub-Adviser may make and retain copies of any such records prior to providing them to the Board of the Trust.
