Recording Expenses. Buyer shall pay all recording fees arising from the recordation of the Assignment and the other documents delivered at Closing, except that Seller shall pay all recording fees arising from the recordation of the lien release documents delivered by Seller at Closing. Each Party shall be solely responsible for all expenses, including due diligence expenses, incurred by it in connection with this transaction, and neither Party shall be entitled to any reimbursement for such expenses from the other Party.

The Ariba system calculates and tracks annual spend, per healthcare professional across all business segments. Colleagues may refer to the CVS Health Gifts and Entertainment Policy for more information about recording physician spend. •□ Required Training. Employees providing gifts, meals and entertainment (as applicable) to healthcare professionals must participate in the applicable training modules on how to allocate physician spend, requirements and guidelines pertaining to meals and how to record gifts and meals in the Ariba system.
