Recording and Filings. (a) The Company shall, and shall cause each of the Guarantors to, at their sole cost and expense, take or cause to be taken all commercially reasonable action required to perfect (except as expressly provided in the Collateral Documents), maintain (with the priority required under the Collateral Documents), preserve and protect the security interests in the Collateral granted by the Collateral Documents, including (i) the filing of financing statements, continuation statements, collateral assignments and any instruments of further assurance, in such manner and in such places as may be required by law to preserve and protect fully the rights of the Holders, the Notes Collateral Agent, the Trustee and the Canadian Co-Trustee under this Indenture and the Collateral Documents to all property comprising the Collateral pursuant to the terms of the Collateral Documents, and (ii) the delivery of the certificates, if any, evidencing the certificated securities pledged under the Collateral Documents, duly endorsed in blank or accompanied by undated stock powers or other instruments of transfer executed in blank. The Company shall from time to time promptly pay all financing and continuation statement recording and/or filing fees, charges and recording and similar taxes relating to this Indenture, the Collateral Documents and any amendments hereto or thereto and any other instruments of further assurance required pursuant thereto. Neither the Company nor any Guarantor will be permitted to take any action which action might or would have the result of materially impairing the security interest with respect to the Collateral for the benefit of the Notes Collateral Agent, the Trustee, the Canadian Co-Trustee or the Holders except as expressly set forth herein, in the Collateral Documents (including any Intercreditor Agreement).

Recording and Filings. On or prior to the Closing Date the Servicer will record and file, on behalf of TLFC and at the Servicer's expense, financing statements and continuation statements with respect to the Collateral meeting the requirements of the UCC in such manner and in such jurisdictions as are necessary to perfect and maintain the perfection of the Lender's security interest in the Collateral as described in the Credit Agreement. Notwithstanding the foregoing, the parties hereto acknowledge and agree that (i) financing statements will not be recorded or filed with respect to the Equipment other than in the Filing Locations, (ii) the Lease Files will not be physically delivered to the Lender but instead will be held by the Servicer in its custodial capacity as described herein, (iii) the financing statements to be filed in the Filing Locations other than the States of Delaware and Illinois will not be filed until after the Closing Date (and the Servicer agrees to make such filings within 5 Business Days of the Closing Date) and (iv) the certificate of title or other title document to any Equipment consisting of motor vehicles will not be marked to indicate the transfer from Trans Leasing to TLFC or the security interest of the Lender therein.
Recording and Filings. In connection with the transfer of the Trust Estate to the Issuer, the Servicer agrees to record and file, on behalf of the Seller and at the Servicer's expense, financing statements and continuation statements with respect to the Trust Estate meeting the requirements of the UCC in such manner and in such jurisdictions as are necessary to perfect and maintain the perfection of the transfer of the Trust Estate to the Issuer. Notwithstanding the foregoing, the Parties acknowledge and agree that (i) financing statements will not be recorded or filed with respect to the Equipment other than in the Filing Locations, (ii) the Lease Files will not be physically delivered to the Owner Trustee or the Indenture Trustee but instead will be held by the Servicer as custodian for the Owner Trustee or the Indenture Trustee in accordance with the provisions hereof, (iii) the financing statements to be filed in the Filing Locations other than the States of Delaware, Illinois and New York will not be filed until after the Closing Date (and the Servicer, on behalf of the Seller and at the Servicer's expense) agrees to make such filings within 5 Business Days after the Closing Date), and (iv) Trans Leasing will not be required to cause the certificate of title or other title document to any Equipment consisting of motor vehicles to be transferred to the Seller or transferred from the Seller to the Owner Trust pursuant to this Agreement or the security interest of the Indenture Trustee granted pursuant to the Indenture marked on such certificate of title or other title document.

  • Recording and Filing Borrower will cause the Loan Documents and all amendments and supplements thereto and substitutions therefor to be recorded, filed, re-recorded and re-filed in such manner and in such places as Lender shall reasonably request, and will pay on demand all such recording, filing, re-recording and re-filing taxes, fees and other charges. Borrower shall reimburse Lender, or its servicing agent, for the costs incurred in obtaining a tax service company to verify the status of payment of taxes and assessments on the Property.

The UTI Beneficiary hereby irrevocably makes and appoints each of the Titling Trustee and the Servicer, and any of their respective officers, employees or agents, as the true and lawful attorney-in-fact of the UTI Beneficiary (which appointment is coupled with an interest and is irrevocable) with power to sign on behalf of the UTI Beneficiary any financing statements, continuation statements, security agreements, mortgages, assignments, affidavits, letters of authority, notices or similar documents necessary or appropriate to be executed or filed pursuant to this Section.

In furtherance and not in limitation of the foregoing, the Seller shall permit the Buyer to reasonably participate in the defense and settlement of any claim, suit or cause of action relating to this Agreement or the transactions contemplated hereby, and the Seller shall not settle or compromise any such claim, suit or cause of action without the Buyer’s written consent. Notwithstanding anything herein to the contrary, the Buyer shall not be required by this Section to take or agree to undertake any action, including entering into any consent decree, hold separate order or other arrangement, that would (i) require the divestiture of any assets of the Buyer or any of its Affiliates or any portion of the Business or the Purchased Assets or (ii) limit the Buyer’s freedom of action with respect to, or its ability to consolidate and control, the Business or the Purchased Assets or any of the Buyer’s or its Affiliates’ other assets or businesses; provided, that the Seller may not, without the prior written consent of the Buyer, become subject to, consent to, or offer or agree to, or otherwise take any action with respect to, any requirement, condition, limitation, Contract or order to (A) sell, license, assign, transfer, divest, hold separate or otherwise dispose of any Purchased Asset, the Business or any portion thereof, (B) conduct, restrict, operate, invest or otherwise change the Purchased Assets, the Business or any portion thereof in any manner, or (C) impose any restriction, requirement or limitation on the operation of the Business or portion of the Business.

  • Filing, Recording and Opinions (a) The Issuer will comply with the provisions of TIA Sections 314(b), 314(c) and 314(d), in each case following qualification of this Indenture pursuant to the TIA and except to the extent not required as set forth in any SEC regulation or interpretation (including any no-action letter issued by the Staff of the SEC, whether issued to the Issuer or any other Person). Following such qualification, to the extent the Issuer is required to furnish to the Trustee an Opinion of Counsel pursuant to TIA Section 314(b)(2), the Issuer will furnish such opinion not more than 60 but not less than 30 days prior to each September 30. Any release of Collateral permitted by Section 11.04 hereof will be deemed not to impair the Liens under this Indenture and the Security Documents in contravention thereof and any person that is required to deliver an Officers’ Certificate or Opinion of Counsel pursuant to Section 314(d) of the TIA, shall be entitled to rely upon the foregoing as a basis for delivery of such certificate or opinion. The Trustee may, to the extent permitted by Section 7.01 and 7.02 hereof, accept as conclusive evidence of compliance with the foregoing provisions the appropriate statements contained in such documents and Opinion of Counsel.

  • Preparation and Filing If and whenever the Company is under an obligation pursuant to the provisions of this Agreement to use its best efforts to effect the registration of any Registrable Shares, the Company shall, as expeditiously as practicable:

  • Governmental Consents and Filings No consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any federal, state or local governmental authority is required on the part of the Purchaser in connection with the consummation of the transactions contemplated by this Agreement.
