Record Keeping and Reports. A. The Adviser will maintain all books and records with respect to the Trust’s securities transactions required by the 1940 Act and rules thereunder (other than those records being maintained by the Trust’s administrator, custodian or transfer agent) and preserve such records for the periods prescribed therefore.

Record Keeping and Reports. (a) The Adviser will maintain all books and records with respect to the Fund's securities transactions required by sub-paragraphs (b)(5), (6), (9) and (10) and paragraph (f) of Rule 31a-1 under the Investment Company Act (other than those records being maintained by the Fund's administrator, custodian or transfer agent) and preserve such records for the periods prescribed by Rule 31a-2 of the Investment Company Act.
Record Keeping and Reports. Subject to the provisions of this Agreement, the Master Custodial Administration Agreement Administrator, Custodian and/or Plan Administrator shall maintain such records as may be necessary for the proper administration of the Custodial Account. Record Keeping and Reports. (a) NeoGenesis will keep and maintain complete and accurate records of all laboratory data and results generated in the course of the Screening Program, including records of all Preliminary Compounds, Active Compounds, and Improved Active Compounds identified, and any Inventions discovered and/or developed by NeoGenesis, during the Screening Program. All such written records of NeoGenesis shall be open to inspection by Schering during normal business hours upon reasonable prior written notice; provided, however, that except with respect to (i) Improved Active Compounds, (ii) Active Compounds, and (iii) Preliminary Compounds of the same Chemotype as such Improved Active Compounds or Active Compounds, NeoGenesis shall not provide Schering with access to any chemical structures or structural data.

Record Keeping and Reports. SH shall keep complete and accurate records and books relating to the manufacture, use, sale, lease and rental of the Licensed Products. All industrial trucks sold by SH shall be marked with a serial number, and records kept of serial numbered products. NMHG, through its designated representatives and employees, shall have the right to inspect and audit such records and books for the purpose of determining the sufficiency and accuracy thereof and the correctness of any payments made thereunder. Each sale, lease and rental of Licensed Products shall be deemed made when shipped by SH. In the event that SH makes any direct sales, leases or rental of the Licensed Products to third-party customers, such direct sale, lease or rental shall be deemed made when shipped. Accompanying the semi-annual payments due under Sections III and IV hereof, SH shall furnish to NMHG a statement in writing showing in reasonable detail the following information:

Record Keeping and Reports. 5.1 LICENSEE agrees to keep accurate records in sufficient detail to enable the royalties payable by LICENSEE to LICENSOR hereunder to be determined, and agrees to permit said records to be examined from time to time during the life of this Agreement, and for one (1) year after the expiration and termination of this Agreement, at reasonable intervals (but not more than once per calendar year) by an independent auditor mutually agreeable to the parties, during normal business hours, and to the extent necessary to verify the reports and payments required hereunder. Such auditor shall only disclose to LICENSOR whether or not royalties payable hereunder have been accurately computed and paid, and no other information. In the event any such audit reveals an underpayment, LICENSEE shall promptly remit the deficiency to LICENSOR. In the event any such audit reveals an overpayment, the excess shall be credited against any future payments due to LICENSOR hereunder.
