Receipt of Property. (a) The Escrow Agent hereby acknowledges receipt from the Investors of immediately available funds in the aggregate amount of $11,339,300.70.

Receipt of Property. (a) Promptly after the Effective Time, UK Acquiror will deliver the Initial Primary Escrow Funds and the Secondary Funds to the Escrow Agent and the Escrow Agent shall deposit such Funds in the Primary Escrow Account and the Secondary Escrow Account, respectively, as directed. Furthermore, promptly after the time, if ever, that UK Subsidiary receives the UK Tax Credit, UK Acquiror will deliver the UK Tax Credit Escrow Funds to the Escrow Agent and the Escrow Agent shall deposit such Funds in the Primary Escrow Account. Following the Escrow Agent’s receipt of each such Funds, the Escrow Agent will acknowledge receipt thereof by written notice to Parent and Representative (which written notice may be in the form of an e-mail to Parent’s legal counsel and to Representative).

Occasionally, a particular piece of excess ----------------------------- property would require an extraordinary conveyance to transport it to the nearest disposal turn-in point. Other excess property may be extremely dangerous to transport to a turn-in point. Sometimes, no disposal turn-in point may have the storage capacity or regulation-conforming facilities to store certain property. Still other property to be disposed of may be installed and would require dismantling prior to shipment to a turn-in point. In these and other unusual situations. DPDO Barstow may elect to receive such property "in- place". This means a DPDO receiving person will visit the property's location, inspect the property, verify the turn-in documentation. and sign for accountability of the property "in-place". while DPDO Barstow takes accountability for the property, the responsibility for the safekeeping care, and frequently the issue or release of property remains with the activity turning-in the property. All requests for DPDO Barstow to receive property in- place should be directed to the Chief, DPDO Barstow, AUTOVON 282-6568.

  • Receipt of Collateral At the commencement of any loan, the Lending Agent shall instruct the Approved Borrower to transfer to the Lending Agent the required Collateral. Collateral will be received from an Approved Borrower prior to or simultaneous with delivery of the securities loaned. If the Approved Borrower does not provide Collateral to the Lending Agent, as previously agreed, then the Lending Agent will cancel the corresponding loan instruction prior to delivery.

  • Receipt of Payments Borrowers shall make each payment under this Agreement not later than 2:00 p.m. (New York time) on the day when due in immediately available funds in Dollars to the Collection Account. For purposes of computing interest and Fees and determining Borrowing Availability as of any date, all payments shall be deemed received on the Business Day on which immediately available funds therefor are received in the Collection Account prior to 2:00 p.m. New York time. Payments received after 2:00 p.m. New York time on any Business Day or on a day that is not a Business Day shall be deemed to have been received on the following Business Day.

  • Receipt of Payment The Company shall have received payment, by wire transfer of immediately available funds, in the full amount of the purchase price for the number of Shares being purchased by such Purchaser at the Closing as set forth in the Schedule of Purchasers.
