Common use of Receipt of Closing Documentation Clause in Contracts

Receipt of Closing Documentation. All documentation relating to the due authorization and completion of the purchase and sale of the Purchased Shares and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by the Purchaser of its obligations under this Agreement shall be satisfactory to the Vendor and its counsel, acting reasonably, and the Vendor shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form and substance satisfactory to the Vendor and its counsel, acting reasonably.

Receipt of Closing Documentation. All documentation relating to the due authorization and completion of the purchase and sale of the Purchased Shares and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by the Purchaser Vendors of its obligations their obligations, covenants and agreements under this Agreement shall be satisfactory to the Vendor Purchaser and its counsel, acting reasonably, and the Vendor Purchaser shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form and substance satisfactory to the Vendor Purchaser and its counsel, acting reasonably.

All documentation relating to the due authorization and completion of the sale and purchase and sale of the Purchased Shares under this Agreement and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by each of the Purchaser Vendors of its their obligations under this Agreement Agreement, shall be satisfactory to the Vendor and its counselPurchaser, acting reasonably, and the Vendor Purchaser shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated hereby by this Agreement and the taking of all corporate proceedings in connection therewith with such transactions in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendor and its counsel, acting reasonablyPurchaser.

Receipt of Closing Documentation. All documentation relating to the due authorization and completion of the transactions contemplated hereby, including the purchase and sale of the Purchased Shares Shares, and all actions and proceedings taken on or prior to the each Closing Date in connection with the performance by the Purchaser of its obligations under this Agreement hereunder shall be satisfactory to the Vendor Corporation and its counsel, acting reasonably, and the Vendor Corporation shall have received copies of all such documentation or other evidence as it they may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form and substance satisfactory to the Vendor Corporation and its counsel, acting reasonably.
