Real Property; Assets. (a) Each parcel of real property owned by any Company, any Subsidiary or any Group Company (i) is owned free and clear of all Encumbrances, other than Permitted Encumbrances, and (ii) is neither subject to any Governmental Order or order to be sold nor is being condemned, expropriated or otherwise taken by any public authority with or without payment of compensation therefor, nor, to the Seller’s Knowledge, has any such condemnation, expropriation or taking been proposed, in each case, except as would not reasonably be expected to have a Seller Material Adverse Effect.
