Ratings Information. The Borrower shall, no later than one (1) Business Day after Holdings or the Borrower obtains knowledge of any such change, give notice to the Administrative Agent (by telephone, followed promptly by written notice) of any change (either expressly or pursuant to a letter from S&P or Xxxxx’x stating an “implied” rating, excluding in all cases any private indicative ratings that Holdings or the Borrower may request from time to time from Xxxxx’x or S&P) in Holdings’ corporate rating by Xxxxx’x or S&P, together with details thereof, and of any announcement by S&P or Xxxxx’x that its rating in respect of Holdings is “under review” or that any such rating has been placed on a “Credit Watch List”(R) or “watch list” or that any similar action has been taken by S&P or Xxxxx’x.
Ratings Information. Upon request by WEST, the Servicer shall provide to WEST such information and data (to the extent the Servicer has possession thereof) about the Assets and other assistance relating to the Assets as WEST and the Servicer shall deem reasonably necessary or appropriate in connection with providing information to the Rating Agencies for WEST’s debt ratings or the ratings of any public securitization debt issued by an Affiliate of WEST.
Ratings Information. Promptly after A.M. Best Company, Inc. shall have announced a downgrade in the financial strength rating of Validus Re, written notice of such rating change.

The Company shall, no later than five Business Days after a Responsible Officer obtains knowledge of any such change, give notice to the Administrative Agent (by telephone, followed promptly by written notice transmitted by facsimile with a hand copy sent promptly thereafter) of any change (either expressly or pursuant to a letter from S&P or Xxxxx’x stating an “implied” rating, excluding in all cases any private indicative ratings that the Company may request from time to time from Xxxxx’x or S&P) in rating by S&P or Xxxxx’x in respect of the Company’s non-credit enhanced senior unsecured long-term debt, together with details thereof, and of any announcement by S&P or Xxxxx’x that its rating in respect of such non-credit enhanced senior unsecured long-term debt is “under review” or that any such debt rating has been placed on a “Credit Watch List”® or “watch list” or that any similar action has been taken by S&P or Xxxxx’x.

Upon request by AerCo, the Servicer shall provide to AerCo such information and data about the Aircraft Assets and other commercially reasonable assistance relating to the Aircraft Assets as AerCo shall deem reasonably necessary or appropriate in connection with providing information to the rating agencies for AerCo's debt ratings.
Ratings Information. The Original Guarantor shall supply to the Agent (for distribution to the Lenders), promptly after A.M. Best Company, Inc. shall have announced a downgrade in the financial strength rating of Validus Reinsurance, Ltd., written notice of such rating change.

In accordance with Section 3.4 (Compliance with the Asset Coverage Test, the Amortization Test, the Pre-Maturity Test and the Valuation Calculation) of the Cash Management Agreement, the Cash Manager will provide the Cover Pool Monitor with the ratings assigned to the short-term and long-term unsecured, unsubordinated and unguaranteed debt obligations, or issuer default ratings, of the Issuer by each of the Rating Agencies.
