Common use of Rating Agency Fees Clause in Contracts

Rating Agency Fees. EOI shall promptly pay or cause to be paid the initial fees of S&P and Moody's with respect to the Certificates and the Transaction following receipt of a statement with respect thereto. All periodic and subsequent fees of S&P or Moody's with respect to, and directly allocable to, the Certificates shall be for the account of, and shall be billed to, EOI. The fees for any other rating agency shall be paid by the party requesting such other agency's rating unless such other agency is a substitute for S&P or Moody's in the event that S&P or Moody's is no longer rating the Certificates, in which case the fxxx xxx such agency shall be paid by EOI.
