Rate Management Agreement. Nonpayment by Borrower of any Rate Management Obligation (i) consisting of a termination or equivalent payment, when due, (ii) consisting of a payment of interest or equivalent payment within three (3) days of the date on which such payment is due, or the breach by Borrower of any term, provision or condition contained in any Rate Management Agreement and the continuation of such breach for thirty (30) days.

Rate Management Agreement. No later than seven Business Days after the Effective Date, Borrower shall have executed and delivered a Rate Management Agreement with respect to the Term Loan, based on a notional amount equal to the Term Loan amount, with a duration comparable to the term of the Term Loan.
Rate Management Agreement. On or before May 31, 2008, Borrower shall enter into a Rate Management Agreement with Lender in form and substance satisfactory to Lender, whereby Borrower shall fix the rate of interest of at least forty percent (40%) of the Construction/Term Loan Commitment via an interest rate swap through Lender, which interest rate swap shall be for a period of at least up to and including the Construction/Term Loan Maturity Date.
Rate Management Agreement. On or prior to December 19, 2010, Borrower shall enter into and deliver to Administrative Agent, a Rate Management Agreement in the amount of the Commitments for a period lasting until at least the Initial Maturity Date and containing terms based upon the applicable draw schedules previously delivered and approved by Administrative Agent.
Rate Management Agreement. The term “Rate Management Agreement”, as used herein, means any ISDA Master Agreement between Maker and Payee or any affiliate of Payee, and any schedules, confirmations and documents and other confirming evidence between the parties confirming transactions thereunder, all whether now existing or hereafter arising, and in each case as amended, modified or supplemented from time to time.

If Borrower shall default in the performance or observance of any material term, covenant or condition of the Management Agreement on the part of Borrower to be performed or observed, then, without limiting Agent’s other rights or remedies under this Agreement or the other Loan Documents, and without waiving or releasing Borrower from any of its obligations hereunder or under the Management Agreement, Agent shall have the right, but shall be under no obligation, to pay any sums and to perform any act as may be appropriate to cause all the material terms, covenants and conditions of the Management Agreement on the part of Borrower to be performed or observed.

Notwithstanding any other provision of this Article IX to the contrary, the Administrative Agent shall not be required to verify the payment of, or that other satisfactory arrangements have been made with respect to, Secured Obligations arising under Secured Cash Management Agreements and Secured Hedge Agreements except to the extent expressly provided herein and unless the Administrative Agent has received a Secured Party Designation Notice of such Secured Obligations, together with such supporting documentation as the Administrative Agent may request, from the applicable Cash Management Bank or Hedge Bank, as the case may be. The Administrative Agent shall not be required to verify the payment of, or that other satisfactory arrangements have been made with respect to, Secured Obligations arising under Secured Cash Management Agreements and Secured Hedge Agreements in the case of a Facility Termination Date.
