Quarterly Reviews. (a) At least once per Quarter, the Parties shall review in good faith each then-current Service Level to evaluate PayPal’s performance under such Service Level, including any remedial steps PayPal has taken to address any Service Level failures, during such period. As part of such review, the Parties shall discuss any ongoing improvements to the Services that are necessary to ensure continued adherence to the applicable Service Levels (including the Service Levels as updated, if applicable). PayPal shall also use reasonable efforts to identify any processes used by PayPal in connection with other customers that would benefit eBay to improve the performance of Services hereunder against the Service Levels, and shall consult with eBay as to the implementation of any such methods of improving such performance against the Service Levels approved by eBay.
Quarterly Reviews. 8.1 Xerox and ScanSoft recognize and acknowledge the importance to each other of effective customer support and will conduct quarterly reviews to ensure the process is satisfying all parties. Additionally, if at any time this Software Technical Support and Training process is failing to satisfy either party, an interim review of the situation and the process to date will be made by ScanSoft and Xerox.
Quarterly Reviews. Within ten (10) days of the end of each calendar quarter, or at such other time as the Company may establish in its discretion, the Board will review the Employee’s compensation and the Company's financial circumstances and needs and determine in good faith if any change is merited based upon Employee’s performance and the total cash compensation paid by comparable companies to employees with comparable experience and responsibilities.
Quarterly Reviews. SUPPLIER and McDATA shall participate in reviews, at a minimum on a quarterly basis, to discuss pricing and delivery; quality and reliability performance against mutually agreed upon performance goals; Product changes; deliveries; NCNR quantities; current and future business strategies; and other business opportunities as necessary. Cost reduction attainment and suggestions for future cost reduction will be highlighted, along with action plans to remedy anticipated problems and to resolve existing problems.
Quarterly Reviews. Netscape and Participant agree to establish quarterly reviews of the Service to evaluate the success of the Service and agree to modifications and improvements to the Service.
Quarterly Reviews. JDSU and Supplier will meet, at least once during each JDSU fiscal quarter, to discuss, review and assess, in good faith, the then-current NPI model.
Quarterly Reviews. Both parties agree to formally meet quarterly to review service levels in relation to the KPIs and other operational matters pertaining to this Agreement. WML will monitor and report on WML’s performance of its obligations under this Agreement against the KPIs at the quarterly reviews.
Quarterly Reviews. The Parties will meet on a quarterly basis during the Grant Funding Period (with the first meeting to take place on the date specified in the Conditional Grant Offer Letter) to review: information and reports provided by the Recipient (including the Cash Flow Profile and the Project Plan) to demonstrate the Eligible Expenditure incurred and forecast to be incurred by the Recipient; the progress of the Project as against the Project Requirement; the progress of the Project as against the Milestones and the Project Plan; and compliance with this Grant Agreement and the Collaboration Agreement,
Quarterly Reviews. The contractor shall conduct the first Quarterly Review sixty (60) days after contract award, and on a quarterly basis thereafter. The contractor and subcontractor representatives (as required by the contractor) shall participate and support quarterly program reviews. The program reviews may be conducted as Teleconferences, Video-Teleconferences (VTCs), or face-to-face as determined by the Government. The program reviews shall provide a working level forum to identify, discuss, and resolve issues that could affect the system performance, manufacturing, testing, logistics support, system deliveries, unit cost and program schedule. The contractor shall submit the presentation material and meeting minutes in accordance with CDRL A150. The Quarterly Review shall, at a minimum, include status on the following topics: • Program schedule; • Test and qualification status; • Failure analysis (when appropriate); • Technical Risks and Issues.
Quarterly Reviews. Thorium Power will plan and facilitate quarterly reviews of the activities of the Parties under this Agreement, where the Parties will: · Meet at a location agreed by the Parties (in Abu Dhabi unless agreed otherwise by the Parties). · Review the performance of ENEC departments, Thorium Power, other key vendors and other entities as relevant to the activities of the Parties under this Agreement , in relation to the program schedule, budget and other program objectives & policies; and Thorium Power shall prepare a written report in advance of the review on these topics. · Modify, as appropriate and as agreed between the Parties, the program schedule, budget or other objectives, and correspondingly agree on updates to the Services. · Review the staffing needs for the activities of the Parties under this Agreement (including Thorium Power’s resources) and agree on staffing changes as described in Article 2 (Staff Management). · Review proposals for new or modified 3rd party service providers and equipment vendors. · Update, as appropriate and as agreed between the Parties, the information included in Attachments A through D, as well as the names of individuals excluded from transfer to ENEC under the provisions of Clause 2.3 of this Agreement.
