Vlastnictví Zdravotnické zařízení si ponechá a bude uchovávat Zdravotní záznamy. Zdravotnické zařízení a Zkoušející převedou na Zadavatele veškerá svá práva, nároky a tituly, včetně práv duševního vlastnictví k Důvěrným informacím (ve smyslu níže uvedeném) a k jakýmkoli jiným Studijním datům a údajům.

Network Management 60.1 CLEC and CenturyLink will exchange appropriate information (e.g., network information, maintenance contact numbers, escalation procedures, and information required to comply with requirements of law enforcement and national security agencies) for network management purposes. In addition, the Parties will apply sound network management principles to alleviate or to prevent traffic congestion and to minimize fraud associated with third number billed calls, calling card calls, and other services related to this Agreement.
MANAGEMENT GRIEVANCES 8.01 It is understood that the Management may at any time file a grievance with the staff representative of the Union and request a meeting with him to discuss any complaint with respect to the conduct of the Union, its officers or committee member, in its relationships with the Company or other employees or with respect to any complaint that there has been a violation of any contractual obligation undertaken by the Union, and that if such grievance by the Management is not settled to the mutual satisfaction of the conferring parties it may be referred to arbitration as set forth in Article VII above.
DUŠEVNÍ VLASTNICTVÍ The Institution acknowledges and agrees that the Sponsor shall have exclusive ownership rights to all Poskytovatel uznává a souhlasí, že Zadavatel bude mít výhradní vlastnická práva ke všem Study Data, improvements, developments, discoveries, inventions, work, know-how and other rights (whether or not patentable), created, developed, and/or reduced to practice as a result of or in connection with the conduct of the Study and/or the use of the Study Drug or the Confidential Information, together with all intellectual property rights relating thereto (“Intellectual Property”). The Institution shall promptly disclose in writing to PSI and the Sponsor all Intellectual Property made by the Institution, the Investigator and/or the Study Personnel. At the Sponsor's request, the Institution shall cause all rights titles and interests in and to any such Intellectual Property to be assigned to the Sponsor without additional compensation and provide reasonable assistance to obtain patents, including causing the execution of any invention assignment or other documents. Studijním údajům, vylepšením, na vývoj, k objevům, vynálezům, dílům, know-how a dalším právům (ať už patentovatelným či nikoli), vytvořeným, vyvinutým, a/nebo uvedeným do praxe v důsledku nebo v souvislosti s prováděním Studie, a/nebo používáním Studijního léku nebo Důvěrných informací společně s právy duševního vlastnictví s nimi souvisejícími (dále jen „Duševní vlastnictví“). Poskytovatel bude neprodleně písemně informovat PSI a Zadavatele o veškerém Duševním vlastnictví vytvořeném Poskytovatelem, Hlavním zkoušejícím a/nebo Studijním personálem. Na žádost Zadavatele zajistí Poskytovatel převod veškerých práv a zájmů týkajících se Duševního vlastnictví na Zadavatele bez další odměny a poskytne přiměřenou součinnost k získání patentu včetně zajištění podpisu dokumentů k převodu objevu nebo jiných dokumentů.
Platby In consideration for the services rendered by the Institute, in the Study, the Sponsor agrees to pay to the Institute according to the Budget, attached as Exhibit B hereto (the “Fee”). Jako protiplnění za služby poskytnuté Zdravotnickým zařízením při provádění Studie se Zadavatel zavazuje hradit Zdravotnickému zařízení platby podle Rozpočtu, který je ke Smlouvě přiložen jako Příloha B („Poplatek“). The Fee shall be payable for each eligible Subject properly enrolled according to the Protocol upon proper completion and delivery to the Sponsor of the Case Report Forms (the “CRF”) for each Subject. The Fees, plus VAT calculated in the legal amount, shall be the full remuneration and payment by Sponsor for all costs incurred in the course of the clinical Study. Any and all taxes or other registration charges shall be borne by the Institute. Náklady na veškeré daně nebo jiné registrační poplatky ponese Zdravotnické zařízení. The Institute will recruit a maximum of 300 Subjects into the Study. The Sponsor will not pay Fees, reimburse any expense, charge, cost, nor bear any liability to the Institute, nor to any other person or entity, in respect of any Subject in excess of the maximum number of Subjects specified in the previous sentence. Zadavatel nezaplatí Poplatky, neuhradí žádný výdaj, poplatek ani náklad ani neponese žádnou odpovědnost vůči Zdravotnickému zařízení ani vůči jakékoliv jiné osobě nebo subjektu, pokud jde o jakéhokoliv Účastníka nad rámec maximálního počtu Účastníků specifikovaného v předchozí větě. Management Grievance The Employer may initiate a grievance at Step 3 of the grievance procedure by the Employer or designate presenting the grievance to the President of the Union or designate. Time limits and process are identical to a union grievance.
