Quality Committee. The Manager and the LLC hereby create the Quality Committee referred to in this Section 7.b for the purpose of (i) developing cooperative developmental, management and administrative policies to guide each of the LLC and the Manager in fulfilling its obligations hereunder, (ii) providing to the Manager and the LLC a forum in which policy and implementation matters affecting the LLC and its physicians may be discussed on a regular basis, and (iii) establishing an expedited process through which any disagreement or dispute between the parties to this Agreement relating to or concerning (A) the quality, adequacy or appropriateness of the assets, facilities or services provided by the Manager to the LLC, (B) the quality and timeliness of the services provided by the LLC and its physicians to patients pursuant to this Agreement, (C) the appropriateness of any expense which the Manager treats as a Business Cost of the LLC, may be submitted for review and resolution prior to any informal or formal adjudication. The Quality Committee shall consist of six members, three appointed by the LLC and three appointed by the Manager. The three members appointed by the Manager shall be the Chief Executive Officer of the Manager, the Executive Vice President and Director of Medical Services of the Manager and the Executive Vice President and Director of Legal Services of the Manager. Of the three members appointed by the LLC, one shall be the President of the LLC or his designee. Either party may change the designation of any of its Quality Committee members who is not serving ex-officio by written notice delivered to the other party pursuant to the provisions of Section 10.p of this Agreement. The Manager and the LLC agree to cause the Quality Committee to meet regularly, but not less often than monthly. Where possible, such meetings shall be scheduled to coincide with the dates of the regularly scheduled meetings of the Manager's Board of Directors. The Quality Committee shall adopt such rules and regulations regarding the conduct of its business as it deems appropriate. If the LLC believes that any asset, facility or service provided by the Manager to the LLC pursuant to this Agreement, including any item of Equipment, any aspect of the Office Space, any goods, materials or supplies or any administrative or other service, including any aspect of any budget, business plan, policy or procedure, or any of the professional or non-professional personnel provided to the LLC, is...

Quality Committee. The CMO shall form a quality committee of Directors including at least 80% licensed physicians to enforce the MANUAL and medical practice parameters contained therein. The committee must at least annually submit written recommendations to the FRANCHISOR as to any improvements that can be made or additions to the MANUAL. FRANCHISOR may make such changes and act on such recommendations at its sole discretion. Any and all such changes become the property of the FRANCHISOR.

XX XX Adult, as used in Section 2.7, includes Enrollees who are disabled, age 21 to 64, and in MassHealth Standard or CommonHealth as described in 130 CMR 505. Region – A geographic area used for the purpose of the development of TCOC. See Section 2.7. Risk Track – one of the financial accountability arrangements described in Section 2.7.B.
Quality Committee. Licensor and Licensee shall establish a quality committee comprised of two (2) representatives of Licensor and two (2) representatives of Licensee (the "Quality Committee"). The Quality Committee will endeavor to resolve all matters related to Article 3 and if there is a deadlock the matter will be resolved by arbitration as provided in Section 15.9.

  • Advisory Committee The Settling State shall designate an Opioid Settlement Remediation Advisory Committee (the “Advisory Committee”) to provide input and recommendations regarding remediation spending from that Settling State’s Abatement Accounts Fund. A Settling State may elect to use an existing advisory committee or similar entity (created outside of a State-Subdivision Agreement or Allocation Statute); provided, however, the Advisory Committee or similar entity shall meet the following requirements:

  • Compliance Committee (1) Within thirty (30) days of the date of this Agreement, the Board shall appoint a Compliance Committee of at least three (3) directors, of which no more than one (1) shall be an employee or controlling shareholder of the Bank or any of its affiliates (as the term “affiliate” is defined in 12 U.S.C. § 371c(b)(1)), or a family member of any such person. Upon appointment, the names of the members of the Compliance Committee and, in the event of a change of the membership, the name of any new member shall be submitted in writing to the Assistant Deputy Comptroller. The Compliance Committee shall be responsible for monitoring and coordinating the Bank's adherence to the provisions of this Agreement.

  • Nominating Committee Subject to the provisions of Article X, the Nominating Committee shall consist of such number of Directors (none of whom shall be an employee of the Corporation) as may be determined from time to time by the Board. Subject to the provisions of Article X, the Committee shall review the qualifications of potential candidates for the Equity Directors and shall propose nominees for the Equity Directors who are nominated by the Board. Subject to the provisions of Article X, in making their nominations, the Nominating Committee and the Board of Directors shall take into consideration that (i) the Board of Directors shall have meaningful representation of a diversity of interests, including floor brokers, floor traders, futures commission merchants, producers, consumers, processors, distributors and merchandisers of commodities traded on Chicago Mercantile Exchange Inc. (the “Exchange”) or Board of Trade of the City of Chicago, Inc. (the “CBOT”), participants in a variety of pits or principal groups of commodities traded on the Exchange or the CBOT and other market users or participants; (ii) at least 10% of the members of Board of Directors shall be composed of persons representing farmers, producers, merchants or exporters of principal commodities traded on the Exchange or the CBOT; and (iii) at least 20% of the members of the Board of Directors shall be composed of persons who do not possess trading privileges on either the Exchange or the CBOT, are not salaried employees of the Corporation and are not officers, principals or employees who are involved in operating the futures exchange related business of a firm entitled to members’ rates on either the Exchange or the CBOT. Notwithstanding the foregoing, the Nominating Committee shall include the Chief Executive Officer of the Corporation as a nominee for an Equity Director at any annual meeting of shareholders at which his or her term is scheduled to expire; provided, that if such term expiration occurs during the Transition Period, the Chief Executive Officer shall be nominated as a CME Director. Subject to the provisions of Article X, a majority of the Nominating Committee shall constitute a quorum necessary to transact business.

  • Transition Committee 8.1.0 A transition committee comprised of the employee representatives and the employer representatives, including the Crown, will be established by January 31, 2016 to address all matters that may arise in the creation of the Trust.

  • Development Committee As soon as practicable, the Parties will establish a joint development committee, comprised of at least one (1) and up to two (2) representatives of Omega and at least one (1) and up to two (2) representatives of Acuitas (the “JDC”). One such representative from each Party will be such Party’s Workplan Leader. Each Party may replace its Workplan Leader and other JDC representatives at any time upon written notice to the other Party, provided, however, that each Party shall use reasonable efforts to ensure continuity on the JDC. With the consent of the other Party (which will not be unreasonably withheld, conditioned or delayed), each Party may invite non-voting employees and consultants to attend JDC meetings as necessary, subject to consultant’s agreement to be bound to the same extent as a permitted subcontractor under Section 3.1(i).

  • Steering Committee The Project Manager shall set up a Steering Committee for the Project, consisting of representatives from the Department, the Contractor, and any other key organisations whom the project will impact on, to be agreed between the parties. The function of the Steering Committee shall be to review the scope and direction of the Project against its aims and objectives, monitor progress and efficiency, and assess, manage and review expected impact and use of the findings from the Project. The Committee shall meet at times and dates agreed by the parties, or in the absence of agreement, specified by the Department. The Contractor’s representatives on the Steering Committee shall report their views on the progress of the Project to the Steering Committee in writing if requested by the Department. The Contractor’s representatives on the Steering Committee shall attend all meetings of the Steering Committee unless otherwise agreed by the Department.
