This Umbrella Agreement (hereinafter referred to as the “Agreement” or “Umbrella Agreement”) shall be for the purpose of conducting mutually beneficial flight safety research enabling the development and operation of increasingly autonomous systems with efforts related to assurance of flight critical systems (including airborne and ground software systems), human- autonomy teaming and efficient airspace operations. The safety assurance research under this Umbrella agreement may potentially reduce costs for the development and certification of flight critical systems and autonomous systems. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the “Annex”) concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. Annexes under this Umbrella Agreement may be executed by any NASA Center. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. In the event of a conflict between the Umbrella Agreement and any Annex concerning the meaning of its provisions, and the rights, obligations and remedies of the Parties, the Umbrella Agreement is controlling. The safety assurance research under this Umbrella agreement may potentially reduce costs for the development utilization platforms; and certification of flight critical systems and autonomous systemsother functions and/or services as deemed necessary. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the “"Annex”") concurrently with this Umbrella Agreement. The safety assurance research under this Umbrella agreement may potentially reduce costs for the development results will aid in developing more effective understanding of solid propulsion design, advanced composites, and certification additively manufactured structures in SRM case applications and provide engineering support and training to enable retention of flight critical systems and autonomous systemsnational expertise in Solid Propulsion Technologies. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the “Annex”) concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement.
