The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Nevertheless, Annexes may include an additional sentence to Article 8.C. (titled “Liability”), in standard approved form, which shall be applicable solely to the activities conducted under such Annex. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property or facilities to be utilized under the task. These collaborative activities will be performed at NASA LaRC and at NC State facilities as part of the normal course of research and education, providing participants with advanced training in aeronautics/space systems research and development, workforce development, and student enrichment in Science, Technology, Engineering and Mathematics (STEM) education through the while furthering NASA's research and development goals. Such collaborative learning opportunities shall be limited to activities related to research relevant to this Agreement and shall not be used in lieu of NASA International Space Apps Challenge local events being held in the areas of Cleveland, Ohio internship programs and the Silicon Valley, California. In the event of any conflict between Local Lead Terms and Conditions ("Local Lead T&Cs") and this Agreement, the Local Lead T&Cs shall governprocesses. Intrepid will offer several public programs around the exhibit with the Moon being the main topic/focus. The museum is looking to include a temporary install of Cleveland, Ohio and something for/from Artemis. The key item of this reimbursable agreement will be the Silicon Valley, California. Work under this agreement will utilize NASA facilities such as the High Intensity Solar Environment Test (STEMHISET) education through the NASA International Space Apps Challenge local events being held in the areas of Cleveland, Ohio and the Silicon Valley, California. In the event of any conflict between Local Lead Terms and Conditions ("Local Lead T&Cs") and this Agreement, the Local Lead T&Cs shall governlaboratory. This Umbrella Agreement includes strategic partnership activities between NASA MSFC and Nanoracks, technologyincluding but not limited to: Design Development Test and Evaluation (DDT&E), engineeringmanufacturing, production, and/or administrative support; engineering support; test support; National Security Space (including Sensitive Compartmented Information Facilities for mission/payload operations, production and integration activities, and math (STEM) education through the NASA International Space Apps Challenge local events being held in the areas of Cleveland, Ohio integration facilities for national security payload support); lunar on-surface science and the Silicon Valley, California. In the event of any conflict between Local Lead Terms utilization platforms; and Conditions ("Local Lead T&Cs") and this Agreement, the Local Lead T&Cs shall governother functions and/or services as deemed necessary. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the “"Annex”") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. The results will aid in developing more effective understanding of solid propulsion design, Ohio advanced composites, and the Silicon Valley, California. The partners will leverage NASA’s compelling content and Google’s engagement with students and the Silicon Valley, Californiageneral public to accomplish this goal. In the event of any conflict between Local Lead Terms NASA and Conditions ("Local Lead T&Cs") Google will work together on specific education and public engagement activities under this Agreement, the Local Lead T&Cs shall governagreement through individual annexes. The Umbrella Agreement will be supplemented as needed by annexes with the purpose of exploring the use of the NASA International Space Apps Challenge local events being held Data & Reasoning Fabric (DRF) to improve data access, in the areas of Cleveland, Ohio collaboration with AAI's advanced air mobility information and the Silicon Valley, California. In the event of any conflict between Local Lead Terms and Conditions ("Local Lead T&Cs") and this Agreement, the Local Lead T&Cs shall governdecision support activities.
