PURPOSE AND IMPLEMENTATION. This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of collaborative research, development, and testing opportunities on various topics of mutual interest to enable advanced understanding of aeronautics, science, and space systems research and development and to provide workforce development in Science, Technology, Engineering, and Mathematics (STEM) while furthering NASA’s research and development goals. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property, or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. In the event of a conflict between the Umbrella Agreement and any Annex concerning the meaning of its provisions, and the rights, obligations and remedies of the Parties, the Umbrella Agreement is controlling.

Specifics on the AAM demonstration, research and evaluation activities are outlined in the Annexes to which they apply. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Noggin is a research-based early learning mobile application and subscription service. Noggin content ranges from interactive games, videos, and e-books to longer form video episodes featuring Paw Patrol, Peppa Pig, Blues Clues, and other highly popular characters. In response to the current coronavirus health crisis, Noggin recently released open access channels to provide content free of charge for low-income families through partnerships with Head Start, First Book, and a coalition reaching some five million low- income families in the US. Portions of the learning experiences developed under this Agreement will be made publicly available to families by Partner on its owned and operated channels. Partner, in its sole discretion, will decide which portions of the learning experiences will be made available to the public, as well as the specific means of distribution, as set forth in an Annex. The Parties shall execute one (1) initial Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. This Umbrella Agreement includes strategic partnership activities between NASA MSFC and Nanoracks, including but not limited to: Design Development Test and Evaluation (DDT&E), manufacturing, production, and/or administrative support; engineering support; test support; National Security Space (including Sensitive Compartmented Information Facilities for mission/payload operations, production and integration activities, and integration facilities for national security payload support); lunar on-surface science and utilization platforms; and other functions and/or services as deemed necessary. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Nevertheless, Annexes may include an additional sentence to Article 8.C. (titled "Liability"), in standard approved form, which shall be applicable solely to the activities conducted under such Annex. Bloom Energy has leased space in Building 543, for the laboratory and IT server room comprising of approximately 252 square feet of lab and server room, and use of land comprising of approximately 44,179 square feet. This Umbrella Agreement (hereinafter referred to as the “Agreement” or “Umbrella Agreement”) shall be for the purpose of providing Demand Services to Bloom, as described in the Enhanced Use Lease ARC-2023-0579, Section 3.1(B)(iv). NASA will provide the services under this Umbrella Agreement only to the extent that the provision of such services does not result in NASA competing with the private sector. This requirement is embodied in NASA Policy Directive 9080.1, NASA Advisory Implementing Instruction 1050.1, and the National Space Policy of the United States (June 28, 2010, as amended December 11, 2017). The Umbrella Agreement will be supplemented as needed by annexes with the purpose of exploring the use of the NASA Data & Reasoning Fabric (DRF) to improve data access, in collaboration with AAI's advanced air mobility information and decision support activities. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. This reimbursable Umbrella Agreement is for the purpose of setting the terms and conditions with regard to the requested support from NASA by ULA to be provided by the SCaN. The SCaN services available to the customer are comprised of the Advanced Communications Capabilities for Exploration and Science Systems (ACCESS) project and the Near Space Network (NSN). However, the Space Relay (SR) services is the only SCaN service identified currently by ULA. NASA and ULA agree to develop appropriate requirements and operational interface documentation that will define the operational and communications assets and interfaces necessary for ULA to meet its mission goals. Included in this documentation will be descriptions of the NASA communications support required for pre-mission verification and validation activities, for example network compatibility, and mission operational readiness tests, and the NASA assets required to provide SR return services for the ULA missions. NASA reserves the right to assign SR assets. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella SAA. The Parties may execute subsequent Annexes under this Umbrella SAA consistent with the purpose and terms of this Umbrella SAA. This Umbrella SAA shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella SAA. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any goods, services, facilities or equipment to be utilized under the task.
