PURPOSE AN D AUTHORI TY. The purpose of this agreement is to guide communication, expand partnerships and consistently represent the best of the ESD Network. This Agreement is intended to engender increased collaboration among the ESD’s allowing for provision of services authorized by Chapter 28A.310 RCW to school districts located within each other’s regions, and to affirm the cooperative working relationships between the nine ESDs in the State of Washington. Each of the Parties is a duly constituted Educational Service District, organized and existing under and by virtue of the laws of the State of Washington. Chapter 39.34 RCW authorizes the Parties to enter into agreements with each other for joint or cooperative action, wherein the Board of Directors of each public agency has so authorized such an agreement. Each ESD is authorized (RCW 28A.310) to provide cooperative, informational, and other services or practices that support the education of students birth through twelfth grade, including preparation for post-secondary and career readiness; or to provide or support the effective, efficient or safe management and operation of school systems that are served by ESD’s. The ESD’s’ collective charge is to provide services that assure equal educational opportunities for all of Washington’s school districts, the center for childhood deafness and hearing loss, and the school for the blind. The authority for ESDs to provide services is statutorily limited to the regions served by each ESD, based on local needs and the requests of local school boards. In order to systemically and purposefully extend services beyond the bounds of individual ESDs, the ESD’s have developed an Association of Educational Service Districts (AESD) collective approach to statewide and multi-regional service provisions, as described in the Design of the Washington Educational Service District Network, adopted in 2008. The AESD Network is a voluntary affiliation of the nine ESD’s with the purpose of creating a more effective statewide system within specified areas of service. The AESD Network is built on a foundation of strong relationships among the ESD’s and with clients and partners. These relationships are marked by trust, mutual respect, integrity, and honesty. Each of the parties recognize that ESD’s have ESD to make the most efficient use of its resources.   • PURPOSE AND AUTHORITY The parties to this agreement are the Department of Homeland Security (DHS) and the (Employer). The purpose of this agreement is to set forth terms and conditions which the Employer will follow while participating in E-Verify.

  • Designation and Authorization 1. Each Party shall have the right to designate as many airlines as it wishes to conduct international air transportation in accordance with this Agreement and to withdraw or alter such designations. Such designations shall be transmitted to the other Party in writing through diplomatic channels, and shall identify whether the airline is authorized to conduct the type of air transportation specified in Annex I or in Annex II or both.

  • Organization and Authority The Subscriber is a Delaware limited liability company, validly existing and in good standing under the laws of Delaware and possesses all requisite power and authority necessary to carry out the transactions contemplated by this Agreement. Upon execution and delivery by you, this Agreement is a legal, valid and binding agreement of Subscriber, enforceable against Subscriber in accordance with its terms, except as such enforceability may be limited by applicable bankruptcy, insolvency, fraudulent conveyance or similar laws affecting the enforcement of creditors’ rights generally and subject to general principles of equity (regardless of whether enforcement is sought in a proceeding at law or in equity).

  • Authority and Authorization Each of the Consultants has full power and authority to enter into this Plan and carry out the obligations hereunder. Execution of this Plan and performance by the Consultants hereunder constitutes a valid and binding obligation of the Consultants and performance hereunder will not violate any other agreement to which any of the Consultants is a party.

  • Appointment and Authority Each of the Lenders and the L/C Issuer hereby irrevocably appoints Bank of America to act on its behalf as the Administrative Agent hereunder and under the other Loan Documents and authorizes the Administrative Agent to take such actions on its behalf and to exercise such powers as are delegated to the Administrative Agent by the terms hereof or thereof, together with such actions and powers as are reasonably incidental thereto. The provisions of this Article are solely for the benefit of the Administrative Agent, the Lenders and the L/C Issuer, and neither the Borrower nor any other Loan Party shall have rights as a third party beneficiary of any of such provisions. It is understood and agreed that the use of the term “agent” herein or in any other Loan Documents (or any other similar term) with reference to the Administrative Agent is not intended to connote any fiduciary or other implied (or express) obligations arising under agency doctrine of any applicable Law. Instead such term is used as a matter of market custom, and is intended to create or reflect only an administrative relationship between contracting parties.

  • Organization; Power and Authority The Company is a corporation duly organized, validly existing and in good standing under the laws of its jurisdiction of incorporation, and is duly qualified as a foreign corporation and is in good standing in each jurisdiction in which such qualification is required by law, other than those jurisdictions as to which the failure to be so qualified or in good standing could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. The Company has the corporate power and authority to own or hold under lease the properties it purports to own or hold under lease, to transact the business it transacts and proposes to transact, to execute and deliver this Agreement and the Notes and to perform the provisions hereof and thereof.

  • Power and Authority The Servicer has the corporate power and authority to execute and deliver this Agreement and to carry out its terms; and the execution, delivery and performance of this Agreement have been duly authorized by the Servicer by all necessary corporate action.

  • ENGINEER’S DUTIES AND AUTHORITY With reference to Sub-Clause 2.1 (b), the following shall also apply: The Engineer shall obtain the specific approval of the Employer before taking any of the following actions specified in Part 1:

  • Data Ownership and Authorized Access 1. Student Data Property of LEA. All Student Data transmitted to the Provider pursuant to the Service Agreement is and will continue to be the property of and under the control of the LEA. The Provider further acknowledges and agrees that all copies of such Student Data transmitted to the Provider, including any modifications or additions or any portion thereof from any source, are subject to the provisions of this DPA in the same manner as the original Student Data. The Parties agree that as between them, all rights, including all intellectual property rights in and to Student Data contemplated per the Service Agreement, shall remain the exclusive property of the LEA. For the purposes of FERPA, the Provider shall be considered a School Official, under the control and direction of the LEA as it pertains to the use of Student Data, notwithstanding the above.

  • Payment for Reactive Power NYISO shall pay Developer for reactive power or voltage support service that Developer provides from the Large Generating Facility in accordance with the provisions of Rate Schedule 2 of the NYISO Services Tariff.
