Purchases by Fiduciaries. In the case of a purchaser of a Security acting as a fiduciary for one or more third parties, each third party shall, in the judgment of the Placement Agent, be a “qualified institutional buyer” within the meaning of Rule 144A under the Securities Act (a “Qualified Institutional Buyer”); provided that such purchases shall satisfy such further or more narrow restrictions as may be set forth in the Offering Memorandum relating to the Securities.

Purchases by Fiduciaries. In the case of Securities offered or sold to a subsequent purchaser which is acting as fiduciary or agent for one or more investor accounts or other third parties, each Purchaser shall reasonably believe that each such investor account or third party, as the case may be, is a "qualified institutional buyer," as defined in Rule 144A.
Purchases by Fiduciaries. In the case of a Subsequent Purchaser acting as a fiduciary for one or more third parties, in connection with an offer and sale to such purchaser pursuant to this Section 8.1, such fiduciary and such third parties shall meet the requirements of Section 8.1(a) hereof.

  • Affiliations of Trustees or Officers, Etc The fact that:

  • Term of Agreement; Resignation and Removal of the Administrator (a) This Agreement shall continue in force until the dissolution of the Issuing Entity, upon which event this Agreement shall automatically terminate.

  • Named Fiduciary The Company shall be the named fiduciary and plan administrator under this Agreement. It may delegate to others certain aspects of the management and operational responsibilities including the employment of advisors and the delegation of ministerial duties to qualified individuals.
