PURCHASERS' WARRANTIES AND COVENANT. 15.1 Marquee Inc. covenants that it shall use its reasonable endeavours to file the reports required to be filed by it under the US Securities Xxxxxxxx Xxx 0000, as amended (the "EXCHANGE ACT") and the rules and regulations of the US Securities and Exchange Commission (the "COMMISSION") thereunder, and it shall, if feasible, take such further action as any holder of Consideration Shares may reasonably request, all to the extent required from time to time to enable such holder to sell Consideration Shares without registration under the US Securities Act of 1933 (the "SECURITIES ACT") within the limitation of the exemptions provided by (a) Rule 144 under the Securities Act, as such Rule may be amended from time to time or (b) any similar rules or regulations hereafter adopted by the Commission. Upon the written request of any holder of Consideration Shares, the Purchaser shall deliver to such holder a written statement as to whether it has complied with such requirements.
