By executing this Agreement, other than pursuant to agreements or arrangements governing the Investor further represents that it does not have any contract acquisition, management and disposition of fund assets or interests in general fund assets with any person to sell, transfer, or grant participations to any person, with respect to any of participants in the Purchased Sharesfund.

By executing this Agreement, the Investor further represents that it does not have any contract with any person to sell, transferparticipation in, or grant participations otherwise distributing the same, except that the Company may distribute the Acquired Shares to any person, with respect to any of the Purchased SharesShareholder for no additional consideration.
