The Purchaser is acquiring the Purchased Shares that it is purchasing pursuant to this Agreement for investment for its own account (or for the account of Affiliated Assignees) for investment purposes only and not with the view to, or with any intention of, resale, distribution or other disposition thereof. The Purchaser does not have any direct or indirect arrangement, or understanding with any other persons to distribute, or regarding the distribution of the Purchased Shares in violation of the Securities Act or any other applicable state securities law.

The Purchaser does not have any direct or indirect arrangement, or understanding with any other persons to distribute, or regarding the distribution of the Purchased Shares in violation of the Securities Act or any other applicable state securities law.

Purchase Entirely for Own Account. The Such Purchaser is acquiring those of the Purchased Shares that being purchased by it is purchasing pursuant to this Agreement hereunder, for investment investment, for its own account for investment purposes only account, and not with the view to, for resale or with any intention of, resale, a view to distribution or other disposition thereof. The Purchaser does not have any direct or indirect arrangement, or understanding with any other persons to distribute, or regarding the distribution of the Purchased Shares thereof in violation of the Securities Act. Notwithstanding the foregoing, each Purchaser hereby reserves the right to dispose of the Shares in a manner consistent with its fiduciary obligations to its shareholders and the Securities Act or any other applicable state securities lawand Exchange Act.
